Seller Disclosure Schedules means the disclosure schedules of Seller delivered by Seller pursuant to this Agreement.

• The Regulatory Approvals required to be obtained in connection with the consummation of the Transaction and the other transactions contemplated hereby from the Governmental Entities set forth in Section 8.1(a) of the Seller Disclosure Schedules shall have been obtained.
