Seller Financial Statements definition
Seller Financial Statements has the meaning set forth in Section 3.5(a).
Seller Financial Statements shall have the meaning set forth in Section 5.10.
Seller Financial Statements means the unaudited balance sheets and statements of income, cash flows and changes in financial positions prepared by Seller for the Property, as of and for the two (2) calendar years next preceding the date of this Agreement and all monthly reports of income, expense and cash flow prepared by Seller for the Property, which shall be consistent with past practice, for any period beginning after the latest of such calendar years, and ending prior to Closing.

Except as set forth in the notes thereto, and, in the case of the Seller Financial Statements for the twelve month period ended December 31 , 2020, the normal year-end adjustments, the Seller Financial Statements present fairly in all material respects the financial position of Seller at the respective dates of said balance sheets and the results of the operations and changes in financial position of Seller for the respective periods.

Seller Financial Statements means (i) the consolidated balance sheets of Seller as of March 31, 2014, and the related statements of income, changes in shareholders’ equity, and cash flows (including related notes and schedules, if any) for the period ended March 31, 2014, and for each of the three fiscal years ended December 31, 2013, as filed in amended form by Seller in Exchange Act Documents, and (ii) the consolidated balance sheets of Seller (including related notes and schedules, if any) and related statements of income, changes in shareholders’ equity, and cash flows (including related notes and schedules, if any) included in Exchange Act Documents, as amended, filed with respect to periods ended subsequent to March 31, 2014.
