Seller Group definition

Seller Group means, at any time, the group of companies comprised of Xxxxx Fargo & Company and its subsidiaries at that time.
Seller Group means each and all of: (a) Seller and its officers, directors, agents, consultants and employees, and (b) Seller’s Affiliates and their officers, directors, agents, consultants and employees.
Seller Group means any combined, unitary, consolidated or other affiliated group of which any Seller or Purchased Subsidiary is or has been a member for federal, state, provincial, local or foreign Tax purposes.

  • For purposes of this Article 10, the term “Indemnified Person” when used in connection with particular Losses means Seller in the event any member of the Seller Group is entitled to indemnification under this Agreement and means Buyer in the event any member of the Buyer Group is entitled to indemnification.

  • Xxxxxx agrees that the Parent Guarantee is a primary obligation of Parent and that Seller, the Company, the Seller Group and/or their respective successors and permitted assigns may enforce the Parent Guarantee without the necessity at any time of resorting to or exhausting any other security or collateral.

Seller Group shall have the meaning set forth in Section 9.2.
