Seller Group definition

Seller Group means, at any time, the group of companies comprised of Xxxxx Fargo & Company and its subsidiaries at that time.

Seller Group means Seller, its directors, officers, agents, attorneys, representatives and Affiliates.

Seller Group shall have the meaning set forth in Section 9.2.

Examples of Seller Group in a sentence

• At the Closing, Purchaser shall cause the return or reimbursement of Seller for any cash deposits constituting Credit Support that are provided, funded, or otherwise supported by any member of the Seller Group with respect to the Assets to be assigned hereunder by Seller.

• At or prior to the Closing, Purchaser shall post and provide replacements of any and all Credit Support set forth on Schedule 4.14, as are necessary to obtain the release, return, and replacement of all Credit Support provided by or on behalf of any member of the Seller Group in support of the obligations of any member of the Seller Group related to the ownership or operation of the Assets, with each such release and replacement in the form and substance satisfactory to Seller.

• The Parties agree and acknowledge that except as expressly provided in this Section 7.11, none of the Credit Support provided by or on behalf of any member of the Seller Group in support of the obligations of any member of the Seller Group related to the ownership or operation of the Assets shall be included in or constitute any Assets or be transferred to Purchaser at Closing.

More Definitions of Seller Group

Seller Group means any combined, unitary, consolidated or other affiliated group of which any Seller or Purchased Subsidiary is or has been a member for federal, state, provincial, local or foreign Tax purposes.

Seller Group means Seller and its Affiliates, other than the Group Companies.
