Seller Product means any product manufactured, sold or distributed under any of Seller’s Marks by or on behalf of Seller or any of its Affiliates.

Seller Product means any product or service that is currently being or at any time has been designed, developed, manufactured, marketed, distributed, provided, licensed, sold, or made available at any time by the Seller in connection with the operation of the Business.

Seller Product means any product associated with the Assigned Patents, which as of the Effective Date, meets all of the following: (i) the design of the product is Bona Fide Owned and Controlled by Seller, is sold by the Seller, or in development with the intention by Seller to commercialize, and (ii) in the absence of a license or other authorization, the product would infringe one or more of the Assigned Patents.

• When a Customer orders a Seller Product through the Website, the Customer's purchase of the Product ("checkout process") will take place solely through the Website, and Customer will not be routed to Seller's website, if any, in order to complete the purchase.

• The Seller has never received any notice or other communication (in writing or otherwise) relating to any actual, alleged, or suspected infringement, misappropriation, or violation by the Seller, any of their employees or agents, or any Seller Product of any Intellectual Property Rights of another Person, including any letter or other communication suggesting or offering that the Seller obtain a license to any Intellectual Property Right of another Person.

• The Seller has taken all reasonable steps to maintain the confidentiality of and otherwise protect and enforce their rights in all proprietary information pertaining to the Seller or any Seller Product.

• Seller hereby agrees to indemnify, hold harmless and defend Newegg for any failure to charge, collect and/or remit the proper amount of sales tax with respect to any sale of a Seller Product on the Website.

More Definitions of Seller Product

Seller Product means each proprietary product or service currently manufactured, marketed, or sold by or under license from Seller, or that are currently under development by or under license from Seller, in all cases solely in the Aesthetics Business.
