Seller Representations shall have the meaning assigned thereto in Section 11.1.

More Definitions of Seller Representations

Seller Representations means, with respect to each Seller, the representations and warranties of such Seller contained in his, her or its Joinder Agreement.

The “Seller Representations” means (i) all of the representations and warranties of the Seller set forth in Article 5 and (ii) the Seller’s Closing Certificate. The “Buyer Representations” means (i) all of the representations and warranties of the Buyer set forth in Article 6 and (ii) the Buyer’s Closing Certificate.

Seller Representations means the Seller Fundamental Representations and the Non-Fundamental Seller Representations.

Seller Representations means the representations made by Seller in Article III.

Seller Representations means, collectively and individually, Seller’s Company Representations, Seller’s Fundamental Representations and Seller’s Other Representations.

Seller Representations means (a) the representations and warranties made by each Seller set forth in Section 3 (Representations and Warranties of Each Seller) of the Agreement and (b) the representations, warranties, certifications and other statements and information set forth in such Seller’s Individual Seller Closing Certificate with respect to such Section specified in the foregoing clause “(a)”.
