Seller Services definition

Seller Services means those rights, assets and services to be provided by Seller or its Affiliates to the Companies from and after the Closing pursuant to this Agreement or any Ancillary Agreement.

Seller Services has the meaning set forth in Section 2.1.

Examples of Seller Services in a sentence

• This Agreement and the rights of the parties hereunder may not be assigned (except by operation of law) and shall be binding upon and shall inure to the benefit of the parties hereto, and the successors, heirs and administrators of Seller, Services and Philipp.

• Seller agrees that Seller will perform the Seller Services in a professional and workmanlike manner and in accordance with generally accepted industry standards.

• Notwithstanding anything to the contrary set forth herein, in no event shall the Seller Services include any of the services set forth on Schedule 3.4(a).

• Unless expressly provided otherwise herein, (i) Seller Parties shall be required to provide the Seller Services hereunder only to the extent that such Seller Services were provided to the Business prior to the Effective Date and (ii) the Seller Services shall be available only for the purposes of conducting the Business.

• Price conditions for any Seller Parts or Seller Services provided hereunder will be in accordance with Article 5.1 of Exhibit H to the Agreement.

More Definitions of Seller Services

Seller Services means any service of the type provided by a Seller within the scope of the Business.

Seller Services those products, services or solutions of the specific type offered by Seller immediately prior to the Closing Date.
