Seller Software definition

Seller Software means Software owned, developed (or currently being developed), marketed, distributed, licensed, or sold by any Seller.
Seller Software means any software (including firmware and other software embedded in hardware devices) owned, developed (or currently being developed), used, marketed, distributed, licensed or sold by the Seller at any time (other than non-customized third-party software licensed to the Seller for internal use on a non-exclusive basis).
Seller Software means all Software which is not Third-Party Software.

Examples of Seller Software in a sentence

  • No event has occurred, and no circumstance or condition exists, that (with or without notice or lapse of time) will, or could reasonably be expected to, result in the delivery, license, or disclosure of the source code for any Seller Software to any other Person.

  • Buyer is not authorized to keep any copy of any Seller Software after it is shipped to the end user with a Product.

  • Seller hereby grants Purchaser a nonexclusive right and license to use Seller Software and documentation associated with it on the Equipment in the manner contemplated by the Proposal or as otherwise permitted under this Sales Agreement.

  • Upon any such termination of this license, Purchaser shall return the Seller Software and all copies of it and all documentation to Seller.

  • Seller shall at all times keep and maintain a complete master, reproducible copy of all Source Code of all Seller Software installed at the Worksite in escrow in accordance with the terms and conditions of the Escrow Agreement attached hereto as Exhibit A (the "Escrow Agreement") and which agreement is hereby made part of this Sales Agreement, being incorporated herein by this reference.


More Definitions of Seller Software

Seller Software has the meaning specified in Section 3.15(e).
Seller Software means that software (in source and object code form): (i) in which the Copyright is owned or exclusively licensed by Seller or a Purchased Subsidiary, (ii) which is used primarily in, and necessary to, the operation of the Business, and (ii) which, if material, is listed on Schedule 1.1(b). Seller Software includes Seller Products.
Seller Software has the meaning set forth in Section 4.13(m).
Seller Software is defined in Section 1.1(f).
Seller Software means all Software owned by or licensed to Seller or any of its Affiliates other than any such Software that is: (a) owned by or licensed exclusively to any of the Transferred Entities; (b) licensed to any of the Transferred Entities and used primarily in the Business (as opposed to by Seller and its Affiliates (other than the Transferred Entities), but excluding any such Software that any Transferred Entity does not directly license but has the right to use or may be deemed to have licensed as consequence of such Transferred Entity being a Subsidiary of Seller or any of its Affiliates (other than any Transferred Entity); or (c) used exclusively in the Business by the Transferred Entities.
Seller Software means the Owned Software and the Customer Software.
