Seller Source Code definition

Seller Source Code means the source code for any Software included in the Customer Offerings or Internal Systems or other confidential information constituting, embodied in or pertaining to such Software.
Seller Source Code means, collectively, any software source code or database specifications or designs, or any proprietary information, build scripts, test scripts, documentation, instructions or algorithms contained in or relating to any software included in the Seller Owned Intellectual Property or the Seller Products.
Seller Source Code means any source code, or any portion, aspect or segment of any source code, relating to any Seller Proprietary Asset.

  • Seller has not disclosed, delivered or licensed to any Person or agreed or obligated itself to disclose, deliver or license to any Person, or permitted the disclosure or delivery to any escrow agent or other Person of, any Seller Source Code, other than disclosures to employees and consultants involved in the development of Seller Products and subject to a written confidentiality agreement.

  • No event has occurred, and no circumstance or condition exists, that (with or without notice or lapse of time, or both) will, or would reasonably be expected to, nor will the consummation of the transactions contemplated hereby, result in the disclosure or release of such Seller Source Code by a Seller or escrow agent(s) or any other Person to any third party.

  • Other than in the Ordinary Course of Business, the Seller has not licensed, distributed or disclosed, and Knows of no distribution or disclosure by others (including its employees and contractors) of, the Seller Source Code (defined below) to any Person, except pursuant to the agreements listed in Section 2.6(e) of the Disclosure Schedule, and the Seller has taken all reasonable physical and electronic security measures to prevent disclosure of the Seller Source Code (defined below).

  • No event has occurred, and no circumstance or condition exists, that (with or without notice or lapse of time, or both) will, or would reasonably be expected to, result in the disclosure, delivery or license by Seller of any Seller Source Code, other than disclosures to employees and consultants involved in the development of Seller Products.

  • Without limiting the foregoing, neither the execution of this Agreement nor any of the transactions contemplated by this Agreement will result in a release from escrow or other delivery to a third party of any Seller Source Code.


More Definitions of Seller Source Code

Seller Source Code shall have the meaning set forth in Section 4.8(f).
Seller Source Code means any source code that is Owned Intellectual Property and any source code for any Seller Software.
Seller Source Code has the meaning set forth in Section 3.11(i).
Seller Source Code means, collectively, any human readable software source code that is included among the Assigned Intellectual Property.
Seller Source Code means, collectively, any human-readable software source code, or any material portion or aspect of such source code, or any material proprietary information or algorithm contained in or relating to any such source code, that constitutes any part of the Software or other Seller Products and Services.
Seller Source Code means the Software (defined below) included in the Customer Offerings or Internal Systems. "Software" means computer software code, applications, utilities, development tools, diagnostics, databases and embedded systems, whether in source code, interpreted code or object code form. “Documentation” means printed, visual or electronic materials, reports, white papers, documentation, specifications, designs, flow charts, code listings, instructions, user manuals, frequently asked questions, release notes, recall notices, error logs, diagnostic reports, marketing materials, packaging, labeling, service manuals and other information describing the use, operation, installation, configuration, features, functionality, pricing, marketing or correction of a product, whether or not provided to end user.
Seller Source Code has the meaning given to such term in Section 3.9(a)(xvi).
