As part of the Merger and as a condition to entering into this Agreement, Buyer and Seller have entered into a Stock Option Agreement on the date hereof (the "Stock Option Agreement") in the form attached hereto as Exhibit 1.7, giving Buyer the right to purchase 165,920 shares of Seller Common Stock, which shares would upon issuance equal 19.9% of the then-issued and outstanding Seller Common Stock (including shares issuable pursuant to the Seller Stock Option Plan (as defined below).
