Selling and Distribution Expenses means all underwriting discounts, selling commissions and stock transfer taxes attributable to the sale of Shares by the Holders and any out-of-pocket expenses of the Holders incurred in connection with the registration of Shares, including, without limitation, fees and disbursements of counsel for the Holders if such counsel is not also counsel for the Company, printing expenses and marketing expenses.
Selling and Distribution Expenses means, with respect to each Product, actual direct costs, to the extent related to the Selling and Distribution (as defined below) of the Products for sale in the Territory during the Term of the Agreement.
