SELLING DEALERSHIP definition

SELLING DEALERSHIP is the dealership from whom this Agreement was purchased. "VEHICLE" refers to the covered VEHICLE as identified on page 1.
SELLING DEALERSHIP is the dealership from whom this Agreement was purchased. "CLAIM" refers to any COST for which YOU seek payment or reimbursement from US under this Agreement.
SELLING DEALERSHIP is the dealership from whom this Agreement was purchased. "VEHICLE" refers to the covered VEHICLE as identified on page 1. WE will pay YOU or a licensed repairer the COST, in excess of the DEDUCTIBLE, to remedy the FAILURE of only the following parts, using new, used, or remanufactured parts, except as explained in the items listed under the section "WHAT THIS AGREEMENT DOES NOT COVER". Transmission/Transaxle – Transmission case and all internal parts including automatic trans/direct clutch, bands, bearings, bushings, chain, accumulators and rings, adjusters, parking gear and pawl, planetary and sun gears, shift cover and forks, solenoids, sprags, springs, sprockets, stator and shaft, support and shafts, synchronizer, hubs and keys, valve body, valve pack, washers, pressure switches, forward and intermediate clutches, servos and rings, pressure regulator valve, and input/output shafts; governor; electronic control unit; extension housing; vacuum modulator; speedometer drive gears; oil pump/housing and pan; torque converter; thrust bearings; transmission mounts; yoke; seals and gaskets.

  • If YOU purchased a DISAPPEARING DEDUCTIBLE and the SELLING DEALERSHIP is no longer in business at the time you submit a CLAIM, notify US pursuant to the Claim Procedures of this Agreement and no DEDUCTIBLE will apply to YOUR covered repairs.

  • To cancel this Agreement, YOU may contact US directly, or return this agreement to YOUR SELLING DEALERSHIP.

  • The SELLING DEALERSHIP will assist with YOUR cancellation request and verify the VEHICLE'S mileage.

  • To cancel this Agreement, YOU may contact US, or return this Agreement to YOUR SELLING DEALERSHIP.

  • If YOUR VEHICLE is towed to and repaired at the SELLING DEALERSHIP, the tow payment or reimbursement maximum will increase up to $75 per occurrence.

  • In the event YOU are not able to return to YOUR SELLING DEALERSHIP for service due to YOU moving or YOUR SELLING DEALERSHIP is no longer in business, OLM Care maintenance services must be performed at a licensed repair facility.

  • managing dealer means a person that has entered into an agreement with an issuer under which the person has agreed to organize and participate in the solicitation of the exercise of the rights issued by the issuer;

  • Soliciting Dealers means those broker-dealers that are members of the Financial Industry Regulatory Authority, or that are exempt from broker-dealer registration, and that, in either case, enter into participating broker or other agreements with the Dealer Manager to sell Shares.

  • Exchanging Dealer means any Holder (which may include any Initial Purchaser) that is a Broker-Dealer and elects to exchange for New Securities any Securities that it acquired for its own account as a result of market-making activities or other trading activities (but not directly from the Company or any Affiliate of the Company) for New Securities.

  • Wholesale dealer means any dealer who deals in, or who holds a licence under any law to deal in, as the case may be, wholesale quantities of goods, and the business and stock of a wholesale dealer shall be deemed to include the business and stocks of any retail dealer who conducts business on the same premises on which the wholesale dealer conducts his or her business; and

  • Participating Dealer means any licensed broker or dealer and who has entered into a Participation Agreement in form and substance acceptable to the Manager and the Trustee.

  • Dealer Manager means Realty Capital Securities, LLC, or such other Person selected by the Board of Directors to act as the dealer manager for the Offering.

  • Placement Shares shall have the meaning given in the Recitals hereto.

  • Sales Agent means an authorized representative of the Company; and

  • Dealership means a site or location in this state:

  • Selling Holder means a Holder who is selling Registrable Securities pursuant to a registration statement.

  • Used motor vehicle dealer means a person that is engaged in the business of purchasing, selling, exchanging, or dealing in used motor vehicles and that has an established place of business in this state at which it conducts that business. The term does not include a new motor vehicle dealer purchasing, selling, exchanging, or dealing in used motor vehicles as part of its business of purchasing, selling, exchanging, or dealing in new motor vehicles.

  • Vehicle dealer means a person engaged in the business of buying, selling, or exchanging a vehicle as defined in Subsection (138).

  • Selling Entity means Parent, any Assignee, and each of their controlled Affiliates (including, from and after the Effective Time, the Company) and Sublicensees.

  • Grain dealer means a person engaged in the business of receiving, buying, exchanging, selling, or storing farm produce in this state. The term includes a farm produce trucker, grain merchandiser, or processor. The term does not include a person solely engaged in 1 of the following:

  • New motor vehicle dealer means a person, including a distributor, that holds a dealer agreement granted by a manufacturer, distributor, or importer for the sale or distribution of its motor vehicles; is engaged in the business of purchasing, selling, exchanging, or dealing in new motor vehicles; and has an established place of business in this state.

  • investment dealer means a person or company registered in the category of investment dealer;

  • Selling Group has the meaning ascribed thereto in Section 2.2;

  • Forward Hedge Selling Commission means, for any Forward Contract, the product of (x) the Forward Hedge Selling Commission Rate for such Forward Contract and (y) the Volume-Weighted Hedge Price.

  • Forward Purchaser has the meaning set forth in the introductory paragraph of this Agreement.

  • Selling Stockholder means any Stockholder owning Registrable Shares included in a Registration Statement.

  • Initial Public Offering means an offering of securities registered under the Securities Act of 1933, the issuer of which, immediately before the registration, was not subject to the reporting requirements of sections 13 or 15(d) of the Securities Exchange Act of 1934.

  • Wholesale distributor means any person other than a manufacturer, a manufacturer's co-licensed

  • Eligible Dealer means any corporation or other entity having as a principal business acting as a broker or dealer in securities.

  • Initial Purchaser As defined in the preamble hereto.

  • Selling Commission means three percent (3.0%) of the gross proceeds of Shares sold pursuant to this Agreement, or as otherwise agreed between the Company and the Agent with respect to any Shares sold pursuant to this Agreement.
