The Purchaser will also inform the Seller and/or the Selling Entities about the location and modalities where the Sold Records (or copies thereof) can be accessed.
The portion of the Earn-Outs (if any) allocated to (i) the Share Sellers shall be allocated amongst the Share Sellers pro rata to their shareholdings in Aco Hud and (ii) the Selling Entities shall be allocated amongst the Selling Entities in accordance with the allocation notified by the Seller to the Purchaser in accordance with Section 4.4(b).
