Senior Bridge Facility definition

Senior Bridge Facility means any senior secured or unsecured bridge loan facility provided by banks and other financial institutions to the Company to provide a portion of the cash consideration payable for a Permitted Material Acquisition.

Senior Bridge Facility means the senior bridge facility dated on or around the Merger Date, between, among others, VM FinanceCo and certain financial institutions as lenders thereunder, as amended or supplemented from time to time.

Senior Bridge Facility means the senior unsecured bridge facility evidenced by this Agreement, including the Loans hereunder.

Examples of Senior Bridge Facility in a sentence

• Any borrowing, guaranteeing or securing (as applicable) of the Total Commitments (as defined in the Senior Bridge Facility Agreement, the Senior Secured Bridge Facilities Agreement and the RCF Facility Agreement) and of the Commitments (as defined in the TLB Credit Agreement) by the Company would not cause any borrowing, guarantee, security or similar limit binding on the Company to be exceeded.

• It is further agreed that MLPFS will appear on the top left of the cover page of any marketing materials for the ABL Facility, MLPFS will appear on the top left of the cover page of any marketing materials for the Term Facility and GS Bank will appear on the top left of the cover page of any marketing materials for the Senior Bridge Facility, and in each case will hold the roles and responsibilities conventionally understood to be associated with such name placement.

• You agree that, except as contemplated above, no other agents, co-agents or arrangers will be appointed, no other titles will be awarded and no compensation (other than that expressly contemplated by this Commitment Letter and the Fee Letter referred to below) will be paid in connection with the Senior Bridge Facility unless you and we shall so agree.

• Additionally, the commitment of each Commitment Party with respect to the Senior Bridge Facility shall terminate at 11:59pm on the date that is one Business Day following the date on which the Acquisition is consummated in the event the Refinancing shall have not been consummated prior to such time.

• It is agreed that (a) each of RBCCM and MLPFS will act as joint lead arrangers (in such capacity, the “Lead Arrangers”) and as a joint bookrunners for the Senior Bridge Facility; and (b) RBCCM will act as administrative agent for the Senior Bridge Facility (the “Bridge Administrative Agent” or the “Administrative Agent”).

More Definitions of Senior Bridge Facility

Senior Bridge Facility shall have the meaning set forth in the Recitals to this Agreement.

Senior Bridge Facility means the Credit Agreement, dated as of August 16, 2002, as amended from time to time, among the Company, each of the lenders party thereto, Bank of America, N.A., as administrative agent for such lenders, and Banc of America Securities LLC and Xxxxxxx Xxxxx Credit Partners L.P., as co-syndication agents.

Senior Bridge Facility. Senior unsecured bridge loans in an aggregate principal amount of up to $1,000.0 million (less the aggregate gross cash proceeds from any Senior Notes issued on or prior to the Closing Date) (the “Senior Bridge Loans”).

Senior Bridge Facility means a senior term loan facility to the Borrower in an aggregate principal amount of $150,000,000.

Senior Bridge Facility means that certain Term Loan Agreement of even date herewith between the Borrower and Banc of America Bridge LLC.

Senior Bridge Facility means the senior bridge facility agreement dated January 27, 2014 between, among others, the Company and certain financial institutions as lenders thereunder, as amended or supplemented from time to time, as described above under [“Description of Other Indebtedness—Bidco Parent Bridge Facility”].

Senior Bridge Facility means the senior unsecured increasing rate term loan facility made available to the Borrower pursuant to the Senior Bridge Loan Agreement.
