Senior Executive Officers definition

Senior Executive Officers means the Company's "senior executive officers" as defined in subsection 111(b)(3) of the EESA and regulations issued thereunder, including the rules set forth in 31 C.F.R. Part 30.

Senior Executive Officers means the Chief Executive Officer, the Chief Financial Officer, the Chief Operating Officer, President, Treasurer or Assistant Treasurer of each Borrower.

More Definitions of Senior Executive Officers

Senior Executive Officers shall have the meaning given such term in Section 8.12.1.

For the avoidance of doubt, a “golden parachute payment” for purposes of this Agreement, the EESA and any guidance, rules or requirements issued thereunder, including, without limitation, the rules set forth in 31 CFR Part 30, shall not include payments or benefits (including qualified and non-qualified/supplemental retirement benefits and deferred compensation) in which a Senior Executive Officer or Other Senior Manager is fully vested, or to which a Senior Executive Officer or Other Senior Manager is otherwise entitled, as of the date of termination (other than due to vesting resulting from an applicable severance from employment) (collectively referred to as “Vested Benefits”) and, as such, Vested Benefits shall not be prohibited from payment or delivery or count towards any limitation on payments. Investor and the Company agree that for purposes of the form of waiver attached hereto as Annex B, the foregoing exclusions for Vested Benefits shall apply.

Senior Executive Officers or “NEOs” means the CEO, the CFO and the three highest compensated executive officers other than the CEO and the CFO;

Senior Executive Officers means the Company’s Chairman of the Board, President, Executive Vice President and Vice President(s).
