Senior Guarantor definition

Senior Guarantor has the meaning given to the term “Guarantor” in the Senior Facilities Agreement.

Senior Guarantor. “Senior Lender”, “Senior Secured Notes Guarantor”, “Senior Secured Notes Issuer”, “Senior Secured Notes Trustee”, “Senior Secured Noteholder”, “Subordinated Creditor”, “Permitted Affiliate Parent” or the “Company” shall be construed to be a reference to it in its capacity as such and not in any other capacity;

Senior Guarantor means, as of and after the Issue Date, each of Kosmos Energy GOM Holdings, LLC, Kosmos Energy Gulf of Mexico, LLC, Kosmos Energy Gulf of Mexico Management, LLC and Kosmos Energy Gulf of Mexico Operations, LLC.

• Each Holder hereof, by his or her acceptance hereof, waives all notice of the acceptance of the subordination provisions contained herein and in the Indenture by each holder of Senior Debt [if applicable, insert — or Senior Guarantor Debt], whether now outstanding or hereafter created, incurred, assumed or guaranteed, and waives reliance by each such holder upon said provisions.

• Nothing in this Indenture or in the Securities, express or implied, shall give to any Person, other than the parties hereto and their successors hereunder, the holders of Senior Debt and any Senior Guarantor Debt and the Holders, any benefit or any legal or equitable right, remedy or claim under this Indenture, except as may otherwise be provided pursuant to Section 301 with respect to any Securities of a particular series or under this Indenture with respect to such Securities.

• Each Guarantor covenants and agrees, and each Holder of a Guarantee, by its acceptance thereof, likewise covenants and agrees, that, to the extent and in the manner hereinafter set forth in this Article, the payment of the Indenture Obligations are hereby expressly made subordinate and junior and subject in right of payment as provided in this Article to the prior payment in full in cash (or as otherwise agreed to by the holders of Senior Guarantor Debt) of all Senior Guarantor Debt.

Senior Guarantor means any individual, partnership, limited liability company, limited liability partnership, corporation, joint venture, joint stock company, land trust, business trust or unincorporated organization, or a government or agency or political subdivision thereof, that is a co-borrower with Borrower of the Senior Obligations, or that has guaranteed the repayment of the Senior Obligations or the performance by the Borrower of the terms and conditions of the Senior Creditor Loan Documents in whole or in part or that has provided any letter of credit, pledge, financial instrument or other accommodation to the Senior Creditor as security for or in support of the Senior Obligations.

Senior Guarantor means any member of the Senior Group who is a Guarantor.

Senior Guarantor means each Original Senior Guarantor or any Additional Guarantor once it accedes to this Deed in accordance with the provisions hereof.

Senior Guarantor shall have the meaning ascribed to "Guarantors" in the Senior Facility Agreement;

Senior Guarantor means a “Guarantor” as defined in the Initial Senior Facilities Agreement or any Refinancing Equivalent.

Senior Guarantor means a “Guarantor” (as defined in the Senior Credit Facilities) which has a Guarantee Obligation in respect of Senior Indebtedness.
