Senior Priority Documents definition

Senior Priority Documents means the Original First Lien Documents[, the [ ] First Lien Documents]viii and any Additional Documents in respect of any Senior Priority Obligations.

Senior Priority Documents means the Original First Lien Facility Documentation and any Additional Documents in respect of any Senior Priority Obligations.

• No priority or right of any Senior Priority Agent or any Senior Priority Creditor shall at any time be prejudiced or impaired in any way by any act or failure to act on the part of any Borrower or any Guarantor or by the noncompliance by any Person with the terms, provisions, or covenants of any of the Senior Priority Documents, regardless of any knowledge thereof which any Senior Priority Agent or any Senior Priority Creditor may have.

• The parties hereto acknowledge that the terms of this Agreement are not intended to negate any specific rights granted to, or obligations of, any Credit Party in the Senior Priority Documents or the Junior Priority Documents.

• Except to the extent expressly set forth in this Agreement, each Junior Priority Agent, for itself and on behalf of the Junior Priority Creditors represented thereby, agrees that no Junior Priority Agent or Junior Priority Creditor will take any action that would interfere with any Exercise of Secured Creditor Remedies undertaken by any Senior Priority Agent or any Senior Priority Creditor under the Senior Priority Documents with respect to the Collateral.

• Each Senior Priority Secured Party shall be entitled to manage and supervise its loans and extensions of credit under the relevant Senior Priority Credit Agreement and other Senior Priority Documents as it may, in its sole discretion, deem appropriate, and may manage its loans and extensions of credit without regard to any rights or interests that the Junior Priority Agents or Junior Priority Creditors have in the Collateral, except as otherwise expressly set forth in this Agreement.

More Definitions of Senior Priority Documents

Senior Priority Documents means the Term Loan Documents and any Additional Documents in respect of any Senior Priority Obligations.

Senior Priority Documents means all ABL Facility Documents and Additional Documents in respect of any Senior Priority Obligations.

Senior Priority Documents means the Cash Flow Documents and any Additional Documents in respect of any Senior Priority Obligations.

Senior Priority Documents means, (a) with respect to the ABL Priority Collateral, prior to the Discharge of ABL Priority Obligations, the ABL Documents, and (b) with respect to the Note Priority Collateral, prior to the Discharge of Note Priority Obligations, the Note Documents.

Senior Priority Documents means the Term Documents, the First Lien Note Documents and any Additional Documents in respect of any Senior Priority Obligations.

Senior Priority Documents means the documents governing the Senior-Priority Obligations, as such documents are in effect from time to time.

Senior Priority Documents means, collectively, (a) the Senior-Priority Non-ABL Loan Agreement, (b) the 2021 Secured Notes Indenture, (c) the 2023 Secured Notes Indenture, (d) the 2021 Secured Notes, (e) the 2023 Secured Notes, (f) the Senior-Priority Security Documents, (g) any Additional Senior-Priority Documents and (h) all other agreements, documents and instruments at any time executed and/or delivered by any Grantor or any other person to, with, or in favor of, any Senior-Priority Secured Party in connection with any of the documents referred to in clauses (a) through (g) above or related to any thereto, as all of the foregoing now exist or may hereafter be Refinanced (in whole or in part).
