Senior Supervisory Personnel definition

Senior Supervisory Personnel means in respect of any Party, any individual who functions as its senior resident manager directing all operations and activities of such Party in the country or region in which he is resident, and any manager who directly reports to such senior resident manager in such country or region, but excluding all managers or supervisors who are responsible for or in charge of installations or facilities, onsite drilling, construction or production and related operations, or any other field operations.

Senior Supervisory Personnel means Contractor’s project director, project engineering manager, project construction manager and other Contractor personnel identified in Exhibit K.

Senior Supervisory Personnel means a Party’s senior manager, who directs all operations and activities of such Party in Australia.

Examples of Senior Supervisory Personnel in a sentence

• Contractor shall remain responsible for uninsured losses and deductible amounts under the policies to be provided by Contractor and, with respect to losses arising due to Contractor’s or its Subcontractor’s Gross Negligence or Willful Misconduct of Senior Supervisory Personnel, the policies to be provided by Owner until the Facility Substantial Completion Date, and Owner shall become responsible for such losses and deductibles occurring thereafter.

• For the purposes of Section 7.1, “Knowledge” is defined as when Seller's Senior Supervisory Personnel responsible for the management and daily operation of the Assets have actual knowledge of the relevant subject matter, without any duty of inquiry.

• Contractor shall remain responsible for uninsured losses and deductible amounts under the policies to be provided by Contractor and, with respect to losses arising due to Contractor’s or its Subcontractor’s gross negligence or willful misconduct of Senior Supervisory Personnel, under the policies to be provided by Owner until the Facility Substantial Completion Date, and Owner shall become responsible for such losses and deductibles occurring thereafter.

• The knowledge of Sellers for all purposes hereunder shall include the knowledge of the Senior Supervisory Personnel of the following entities: BPZ E&P, BPZ Resources, Inc., and, until the Completion Date, Newco (collectively, the Sellers’ Knowledge Group); and the knowledge of Buyer for all purposes hereunder shall include the knowledge of the Senior Supervisory Personnel of the Buyer Operating Affiliates.

• It is expressly understood that in the case where the License shall have been terminated directly and primarily as a result of the Gross Negligence or Willful Misconduct of the Senior Supervisory Personnel of a Buyer Party, Buyer Guarantor, or Buyer’s Affiliates and that by the Termination Date the Sellers have received more than $335,000,000.00 in loan proceeds, the Sellers shall be entitled to retain all such loan proceeds as liquidated damages.

More Definitions of Senior Supervisory Personnel

Senior Supervisory Personnel means a Party’s senior manager, who directs all operations and activities of such Party in Australia. Transfer means assign, transfer or otherwise dispose of any interest in this Agreement in whole or part, whether by sale, lease, declaration or creation of a trust or otherwise. Wilful Misconduct means an intentional and conscious disregard of any obligation owed by the relevant person, but does not include any act or omission which is (directly or indirectly) attributable to any breach or negligence on the part of any other person or of such other person's Related Body Corporate.

Senior Supervisory Personnel means, with respect to the Seller, any of the following:

Senior Supervisory Personnel means with respect to a Party, any individual who functions as such Party's senior resident manager, who directs all operations and activities of such Party in the country or region in which he is resident, and any individual who functions for such Party or one of its Affiliates at a management level equivalent to or superior to the senior resident manager, or any officer or director of such Party or one of its Affiliates, but excluding all managers or supervisors who are responsible for or in charge of installations or facilities, onsite drilling, construction or production and related operations, or any other field operations.

Senior Supervisory Personnel means, with respect to Service Provider, any of the following: (a) any individual who is a senior region manager and who directs all operations and activities of Service Provider in Alpine High (as defined in the Purchase Rights and Restrictive Covenants Agreement), (b) any individual who is at a management level equivalent to or superior to a senior region manager referred to in foregoing clause (a) for Service Provider, and (c) any region manager with management or supervisory responsibilities in relation to the Services and who reports directly to the individuals referred to in foregoing clause (a) or (b).

Senior Supervisory Personnel means, with respect to an entity, any director or officer of such entity, and any individual who functions for such entity or one of its Affiliates at a management level equivalent or superior to any individual functioning as such entity’s senior manager(s), who: (a) has authority over such entity’s seismic, acquisition, drilling, construction or production aand related operations and activities in Peru sufficient to direct the manner in which such operations and activities are conducted, or (b) are responsible for the negotiation of matters related to this Agreement and the transactions and agreements contemplated hereby.

[X] ALTERNATIVE NO. 1 - Field Supervisor Tier its designated manager or supervisor who is responsible for or in charge of onsite drilling, construction or production and related operations, or any other field operations; [ ] ALTERNATIVE NO. 2 - Facility Manager Tier its designated manager or supervisor of an onshore or offshore installation or facility used for operations and activities of such Party, but excluding all managers or supervisors who are responsible for or in charge of onsite drilling, construction or production and related operations or any other field operations; [ ] ALTERNATIVE NO. 3 - Resident Manager and Direct Managerial Report Tier its senior resident manager who directs all operations and activities of such Party in the country or region in which he is resident, and any manager who directly reports to such senior resident manager in such country or region, but excluding all managers or supervisors who are responsible for or in charge of installations or facilities, onsite drilling, construction or production and related operations, or any other field operations; [ ] ALTERNATIVE NO. 4 - Resident Manager Tier its senior resident manager who directs all operations and activities of such Party in the country or region in which he is resident, but excluding all managers or supervisors who are responsible for or in charge of installations or facilities, onsite drilling, construction or production and related operations, or any other field operations; and, in any of the above alternatives, any individual who functions for such Party or one of its Affiliates at a management level equivalent to or superior to the tier selected, or any officer or director of such Party or one of its Affiliates.

Senior Supervisory Personnel means, with respect to a Party, any individual who functions as its senior resident manager who directs all operations and activities of such Party in the country or region in which he is resident, and any manager who directly reports to such senior resident manager in such country or region, but excluding all managers or supervisors who are responsible for or in charge of installations or facilities, onsite drilling, construction or production and related operations, or any other field operations; and, in any of the above alternatives, any individual who functions for such Party or one of its Affiliates at a management level equivalent to or superior to the tier selected, or any officer or director of such Party or one of its Affiliates.
