Examples of Senior Supervisory Personnel in a sentence
For the purposes of Section 7.1, “Knowledge” is defined as when Seller's Senior Supervisory Personnel responsible for the management and daily operation of the Assets have actual knowledge of the relevant subject matter, without any duty of inquiry.
The knowledge of Sellers for all purposes hereunder shall include the knowledge of the Senior Supervisory Personnel of the following entities: BPZ E&P, BPZ Resources, Inc., and, until the Completion Date, Newco (collectively, the Sellers’ Knowledge Group); and the knowledge of Buyer for all purposes hereunder shall include the knowledge of the Senior Supervisory Personnel of the Buyer Operating Affiliates.
It is expressly understood that in the case where the License shall have been terminated directly and primarily as a result of the Gross Negligence or Willful Misconduct of the Senior Supervisory Personnel of a Buyer Party, Buyer Guarantor, or Buyer’s Affiliates and that by the Termination Date the Sellers have received more than $335,000,000.00 in loan proceeds, the Sellers shall be entitled to retain all such loan proceeds as liquidated damages.
D) Notwithstanding Articles 4.6(A) and 4.6(B), if any Senior Supervisory Personnel of Operator or its Affiliates engage in Gross Negligence that proximately causes the Parties to incur damage, loss, cost, expense or liability for claims, demands or causes of action referred to in Articles 4.6(A) or 4.6(B), Operator shall solely be responsible for the first five million ($5,000,000) Dollars (U.S.) of such damages, losses, costs, expenses and liabilities.
In this Agreement, the knowledge, information, belief or awareness of a Party consists only of the actual knowledge or awareness, as the case may be, of the Senior Supervisory Personnel of such Party and does not include knowledge, information belief or awareness of any other Person or any constructive or imputed knowledge.
