Separation Agreement and General Release definition

Separation Agreement and General Release means a written document that includes a release of rights and claims from an Eligible Employee in a form that is satisfactory to, and approved by, the Company. The Separation Agreement and General Release may include, among other things: (i) non-competition and/or non-solicitation provisions; (ii) a waiver and release (and covenant not to sue) of any and all claims, including claims arising from the Eligible Employee’s employment and/or separation from employment with the Participating Company except as limited and/or prohibited by applicable law; (iii) nondisclosure and confidentiality provisions; and (iv) non-disparagement provisions.

Separation Agreement and General Release. — means an agreement and release substantially in the forms attached hereto as Exhibits A and B together with such changes, additions and deletions as Progressive, in its sole discretion, may specify.
