Notwithstanding any other provision of this Indenture, including in particular Section 4.07 hereof, the obligation to pay over the 2010 Rebate Amount to the United States and to comply with all other requirements of Section 4.07 hereof and this Section 5.07 shall survive the defeasance or payment in full of the Series 2010 Bonds.
This Company Lease Agreement shall be and remain in effect with respect to the Leased Property (the “Lease Term”) commencing on the date of authorization, execution, authentication and delivery of the Series 2010 Bonds that shall finance, among other things, the Renewable Energy Project component of the Leased Property, and continuing until terminated as provided for in this Section 402.
For purposes of this Section, “Beneficial Owner” means any person which: (a) has the power, directly or indirectly, to vote or consent with respect to, or to dispose of ownership of, any Series 2010 Bonds (including persons holding Series 2010 Bonds through nominee, depositories or other intermediaries), or (b) is treated as the owner of any Series 2010 Bonds for federal income tax purposes.
Money held in the Sinking Fund and the accounts therein shall be subject to a lien and charge in favor of the holder and registered owner of the Series 2010 Bonds as herein provided.
The proceeds of the sale of the Series 2010 Bonds which are deposited into the Refunding Fund pursuant to the Indenture are hereby loaned by the Issuer to the Company in accordance with the provisions of this Agreement.
