Set forth on Schedule I-A are, with respect to each Series A Member, such Series A Member’s name, notice information, Series A Membership Interests, applicable Sharing Ratios, Parent, Representatives (if applicable) and certain other information with respect thereto.
As of the Series A Closing Date, all rights of the Series A Member with respect to the Series A Preferred Shares shall cease and terminate, such Series A Preferred Shares shall no longer be deemed to be outstanding for any purpose whatsoever, and such Person shall no longer be a Series A Member.
Each Series A Member having the right to vote at any meeting of Series A Members shall be entitled to one vote for each Series A Preferred Unit held by it and entitled to be voted at such meeting.
