Series C Priority Return definition

Series C Priority Return means an amount equal to 4.375% per annum on the stated value of $25 per Series C Preferred Unit (equivalent to the fixed annual amount of $1.09375 per Series C Preferred Unit), commencing on the date of original issuance of the Series C Preferred Units. For any partial quarterly period, the amount of the Series C Priority Return shall be prorated and computed on the basis of a 360-day year consisting of twelve 30-day months.
Series C Priority Return means an amount equal to 8 3/4% per annum on an amount equal to $50 per Series C Preferred Unit then outstanding (equivalent to $4.375 per annum). Such amount shall be determined on a daily basis computed on the basis of a 360-day year of twelve 30-day months (or actual days for any month which is shorter than a full monthly period), cumulative from November 24, 1998 to the extent not distributed for any given distribution period pursuant to Sections 5.1 and 16.3 hereof. Notwithstanding the foregoing, distributions on the Series C Preferred Units will accrue whether or not the terms and provisions of any agreement of the Partnership at any time prohibit the current payment of distributions, whether or not the Partnership has earnings, whether or not there are funds legally available for the payment of such distributions and whether or not such distributions are authorized. Accrued but unpaid distributions on the Series C Preferred Units will accumulate as of the Series C Preferred Unit Distribution Payment Date on which they first become payable.
Series C Priority Return means an amount equal to 5.625% per annum on the stated value of $25.00 per Series C Preferred Unit (equivalent to the fixed annual amount of $5.625 per Series C Preferred Unit), commencing on the first date that any Series C Preferred Units were issued or, if later, the first day of the first Series C Distribution Period for which such Series C Preferred Unit was outstanding on the applicable Series C Distribution Record Date. For any Series C Distribution Period greater than or less than a full Series C Distribution Period, the amount of the Series C Priority Return shall be prorated and computed on the basis of a 360-day year consisting of twelve 30-day months.

For purposes of the preceding sentence, Partnership property shall be considered ceiling limited in respect of a holder of Parity Preferred Units if Depreciation attributable to such Partnership property which would otherwise be allocable to such Partner, without regard to this paragraph, exceeded depreciation determined for federal income tax purposes attributable to such Partnership property which would otherwise be allocated to such Partner by more than 5%."
Series C Priority Return means, with respect to each outstanding Series C Preferred Partnership Unit, a sum equal to 2% plus the Partnership's cost of borrowing under its Senior Credit facility for the actual number of days in the period for which the Series C Priority Return is being calculated, cumulative and compounded annually, on the amount of $1,000 plus any accrued and unpaid Series C Priority Return with respect to such Series C Preferred Partnership Unit, commencing on the Fourth Effective Date.
