Series C Stock definition

Series C Stock means the Company’s Series C Redeemable Convertible Preferred Stock, $0.01 par value per share.
Series C Stock means the Company’s Series C Convertible Preferred Stock, $0.001 par value per share, as presently constituted under the Charter, and any other class, series or other designation of security into or for which such Series C Convertible Preferred Stock is converted, substituted or exchanged pursuant to a reorganization, reclassification, recapitalization or similar transaction.
Series C Stock means all of the outstanding shares of the Series C Preferred Stock and the Series C1 Preferred Stock, together, at the time in question, which shares shall be PARI PASSU for all purposes except conversion price, and any new subseries of the Series C Preferred Stock created pursuant to Section 9 hereof.

  • Following payment in full of required dividends to the holders of Series C Stock and Series B Stock in accordance with Sections A.3(a) and (b) above, the holders of shares of the Series A Stock shall be entitled to receive, when, if and as declared by the Board of Directors, dividends on any shares of Series A Stock, out of funds legally available for that purpose, at a rate to be determined by the Board of Directors if and when they may so declare any dividend on the Series A Stock.
