Series C Warrants definition

Series C Warrants means, collectively, the Series C Common Stock purchase warrants delivered to the Purchasers at the Closing in accordance with Section 2.2(a) hereof, which Series C Warrants shall vest proportionally to the exercise of any Series B Warrants, be immediately exercisable and have a term of exercise equal to five (5) years from the initial issue date, in the form of Exhibit C attached hereto.
Series C Warrants means, collectively, the "Series C Warrants" as defined in, and issued pursuant to, Securities Purchase Agreement dated as of September 1, 2000, by and among UST and certain investors, as such agreement may from time to time be amended in accordance with its terms, and any warrants issued in exchange, substitution or replacement therefore.
Series C Warrants means the warrants to purchase Common Stock of the Company issuable pursuant to that certain Amended and Restated Series C Warrant Agreement, dated as of the date of this Agreement, by and among the Company and the holders thereof.

Examples of Series C Warrants in a sentence

  • At the time such Purchaser was offered the Securities, it was, and as of the date hereof it is, and on each date on which it exercises any Series C Warrants, it will be an “accredited investor” as defined in Rule 501(a) of Regulation D promulgated under the Securities Act.

  • The Company has reserved from its duly authorized capital stock the maximum number of Ordinary Shares issuable pursuant to this Agreement, including with respect to issuance of the Warrant Shares upon exercise of the Warrants (without taking into account any limitations on the exercise of the Warrants set forth in the Series C Warrants).
