The right of first offer in this Section 4 shall not be applicable to: (a) Exempted Securities (as defined in the Restated Certificate); (b) shares of Common Stock issued in the IPO; (c) the issuance of shares of Series D Preferred Stock to Additional Purchasers (as defined in the Purchase Agreement) pursuant to Section 1.3 of the Purchase Agreement; and (d) transactions which have been waived in accordance with Section 6.6 hereof.
Notwithstanding anything to the contrary contained herein, if the Company issues additional shares of Series D Preferred Stock after the date hereof, whether pursuant to the Purchase Agreement or otherwise, any purchaser of such shares of Series D Preferred Stock may become a party to this Agreement by executing and delivering an additional counterpart signature page to this Agreement, and thereafter shall be deemed an “Investor” for all purposes hereunder.
