Without limiting the preceding sentences, no ink-original Conversion Notice shall be required, nor shall any medallion guarantee (or other type of guarantee or notarization) of any Conversion Notice form be required in order to convert the Series D Shares.
The form of Notice of Conversion for Series D Shares attached hereto as Exhibit E sets forth the totality of the procedures required of the Purchasers in order to convert the Series D Shares.
The Company may not make any notation on its records or give instructions to the Transfer Agent that enlarge the restrictions on transfer set forth in this Section 4.1. Certificates for Series D Shares or Conversion Shares subject to legend removal hereunder shall be transmitted by the Transfer Agent to the Purchaser by crediting the account of the Purchaser’s prime broker with the Depository Trust Company system as directed by such Purchaser.
At the appropriate Purchaser’s expense, the Company will execute and deliver such reasonable documentation as a pledgee or secured party of Series D Shares, or the Conversion Shares may reasonably request in connection with a pledge or transfer of the Series D Shares or the Conversion Shares.
The Conversion Shares, when issued upon conversion of the Series D Shares in accordance with the terms of the Series D COD will be validly issued, fully paid and nonassessable, free and clear of all Liens imposed by the Company.
