The terms and conditions for each Series established pursuant to this Section 1.08(a) shall be as set forth in this Agreement and the Series Designation, as applicable, for the Series.
Upon approval of any Series Designation by the Board, such Series Designation shall be attached to this Agreement as an Exhibit until such time as none of Shares of such Series remain outstanding.
Upon any issuance of any Class A Ordinary Shares of a Series, the Class B Ordinary Shares of such Series shall no longer constitute Voting Shares of such Series and shall have no further voting rights, either with respect to the applicable Series or the Company overall, except as specifically set forth herein or in a Series Designation, unless such right to vote is specifically required and mandated by the Delaware Act or as set forth herein.
A Series Designation need not provide that any action required or permitted to be taken by the holders of the Shares to which such Series Designation relates may be taken without a meeting by the written consent of such holders or Members, in order for the provisions of this Section 7.08 to apply thereto.
The Series Designation shall relate solely to the Series established thereby and shall not be construed: (i) to affect the terms and conditions of any other Series, or (ii) to designate, fix or determine the rights, powers, authority, privileges, preferences, duties, responsibilities, liabilities and obligations in respect of Interests associated with any other Series, or the Members associated therewith.
