Serious Breach definition

Serious Breach means any breach defined as a Serious Breach in the Agreement or any breach or breaches which adversely, materially or substantially affect the performance or delivery of the Services or compliance with the terms and conditions of the Agreement or the provision of a safe, healthy and supportive learning environment or a breach of security that adversely affects the Personal Data or privacy of an individual. Failure to comply with Law, or actions or omissions by the Provider that endanger the Health or Safety of Learners, Provider Personnel, and all other persons including members of the public would constitute a Serious Breach;
Serious Breach means any breach which adversely, materially and substantially affects the performance or delivery of the Services, in part or in full, or the provision of a safe, healthy and supportive learning environment. Serious breach includes but is not limited to: 16.1.2.1 a breach of security that adversely affects the personal data or privacy of an individual; 16.1.2.2 failure to comply with Law, or acts or omissions by THE COLLEGE that endanger the health or safety of students;
Serious Breach means, for each individual Service, a failure to meet or exceed the Agreed Uptime Guarantee in 3 (three) consecutive Months or in at least 4 (four) Months of any 6 (six) Month period;

Examples of Serious Breach in a sentence

  • Failure to do so may constitute a Serious Breach of this Contract.

  • Failure to transmit complete and accurate data under this Clause 16 will constitute a Serious Breach of Contract in accordance with Clause 21 of the General Terms and Conditions of the Contract and may result in payments for this part of the Services to be delayed or withheld.

  • Every day is a fresh start and impositions should not be carried over to the next day (except in cases of a Serious Breach – see Appendix 1, 2, 3).


More Definitions of Serious Breach

Serious Breach means a breach likely to affect to a significant degree the safety and rights of a subject or the reliability and robustness of the data generated in the clinical trial.
Serious Breach means any substantiated report of improper conduct or attempted improper conduct of the Provider or any persons acting on behalf of the Provider including but not limited to fraud, theft or aggressive behaviour;
Serious Breach means circumstances where either party has been shown to have failed to fulfil its obligations in accordance with the requirements set out in this Contract, being a breach which goes to the root of this Contract such failure being considered so serious and fundamental to the continuance of the Contract as to justify immediate termination.
Serious Breach has the meaning given in clause 16.1.2 (Breach);
Serious Breach shall for the purpose of this Article 3.2.4 have the meaning as defined in the EMA guideline (EMA/698382/2021) entitled: “Guideline for the notification of serious breaches of Regulation (EU) No 536/2014 or the clinical trial protocol”. After the end of the Study at all sites, the SPONSOR will provide INVESTIGATOR with a summary of the overall Study Results. If the Study Results could affect the safety of the Study Participants, the SPONSOR, in consultation with the ethics committee, will cooperate with the INVESTIGATOR to ensure that the Study Participants are appropriately informed during a 2 (two) year period following the end of the Study. During and for a period of 2 (two) years after the end of the Study, the SPONSOR shall ensure to report promptly (or in a timely manner appropriate to the level of risk involved) to the INVESTIGATOR and INSTITUTION any information that could directly affect the health or safety of past or current Study Participants or influence the conduct of the Study, including but not limited to the Study Results and information in site monitoring reports and data safety monitoring committee reports as required by the Protocol. In each case, the INVESTIGATOR and the INSTITUTION shall be free to communicate these findings to each Study Participants and the responsible ethics committee.
Serious Breach means a breach of any of clauses 5.3, 7.2, 7.3, 7.5, 7.7 or 7.10 that causes Damage, theft of the Vehicle or Third Party Loss.
Serious Breach has the meaning ascribed to such term under Clause 15.3.
