Service Facilitator means any person other than a “common carrier” (as defined in the Federal Communications Act) (i) that assists Customer as described and in the manner specified in Exhibit A in any aspect of Customer’s receipt, dissemination or other use of Market Data (including any facilities manager, equipment operator, signal broadcaster or installation contractor) and (ii) as to which NYSE has made the “Service Facilitator” determination that Paragraph 8(a) describes.

Service Facilitator means any party authorised by Turquoise to receive Data from the Customer for the sole purpose of facilitating dissemination of Data in the Customer’s service in accordance with this Agreement, which may include agents of the Customer, owners or operators of websites displaying the Service, software developers, facilities managers, introducing brokers, property managers or providers of other support services.

More Definitions of Service Facilitator

Service Facilitator means an authorized third party agent to which a Data Recipient has delegated any of its responsibilities, obligations or duties under or in connection with this Agreement and is designated on the Service Facilitator List. Data Recipient must submit one or more Service Facilitation Lists identifying each Service Facilitator. Notwithstanding any such delegation, a Data Recipient shall remain responsible for compliance by such Service Facilitator with all applicable terms and conditions of this Agreement and all other acts and omissions thereby in connection with the receipt, use and distribution of the Market Data.

Service Facilitator means an entity appointed by a Redistributor that has been approved by the Exchanges to facilitate the delivery of Data to the Redistributor’s End Customers. Slave Device means any Device which, although capable of receiving or displaying the Data, cannot be used to request access to or update a display of Data, whether in whole or in part. Subsidiaries means those subsidiaries (as defined in Section 1159 of the Companies Act 2006) of the Customer as set out in the Order or as notified to the Exchanges from time to time. Technical Specifications means the Service Definition, Data Formats, Network Specification, and Interface Specification provided to the Customer by the Exchanges, as amended and notified to the Customer from time to time.

Service Facilitator is a Person receiving Information from Distributor for the sole purpose of facilitating dissemination of Information through Distributor’s Service in accordance with the terms and conditions of this Agreement.

Service Facilitator means a staff member who is quali- fied under s. DHS 36.10 (2) (g) 1. to 21. and who has the overall responsibility for service facilitation.
