Service Materials definition

Service Materials means all hardware, software, equipment, information, or other Documents provided by Royal Bank for the Services, including all Schedules, Security Devices, rules and manuals of operation, guides, training materials, reference materials, or other Documents applicable to the Services;
Service Materials means: 1.12.1. The Licensee Performance Requirements.
Service Materials means any and all works of authorship and materials developed, written or prepared by GBG, in relation to the Professional Services (whether individually, collectively or jointly with the Client and on whatever media) which it is required to deliver to the Client pursuant to the Professional Services, including, without limitation, any and all reports, studies, data, diagrams, charts, specifications and all drafts thereof and working papers relating thereto, but excluding ordinary correspondence passing between the Parties.

  • As between us and you, we retain all right, title and interest in and to any and all IP Rights subsisting in the System the User Manual, the Service Materials and any and all modifications, revisions, changes, or improvements to them.

  • Without limiting the above clause, you acknowledge and agree that all IP Rights in the System, the User Manual and the Service Materials are owned by us and this Agreement does nothing to alter such ownership, notwithstanding the use of the terms “purchase,” “sale”, or any similar terminology in connection with this Agreement or any Order.

  • You will not (and must ensure that your personnel, contractors, subcontractors, officers, agents, and related entities do not) do any act which may infringe any IP Rights in (or in any way related to) the System, the User Manual, the Service Materials; challenge or in any manner impugn the validity of any of our IP Rights, or our ownership of (or other rights in or to) our IP Rights, or in any way encourage, assist or procure a Third Party to take any of the actions referred to in this clause.


More Definitions of Service Materials

Service Materials is defined in Clause 6.1.1(ii).
Service Materials means any materials produced by or with Treasure Data in the course of providing any support or Professional Services to Customer.

Service Materials means, without limitation, any and all equipment, hardware, software, computer programs (together with the object and source codes therefore, and any updates, upgrades, fixes, and enhancements thereto), operational manuals, documentation, User Guides, instructions, records, files, systems, marks, visual expressions, screen formats, report formats, designs, inventions, processes, improvements and enhancements to inventions and processes, ideas, methods, algorithms, concepts, formulae, Security Devices, technological and procedural information, data, any of the foregoing specially customized, created or developed for the Customer’s use of the Service, and/or any other thing of a proprietary nature which is developed, created, or provided by the Bank or its contractors, as applicable, for use in connection with any Service, including RegionsFX Online, together with all adaptations or derivative works (as such term is used in U.S. copyright laws) based upon any of the foregoing and all copies of the foregoing.
