Service Provider Confidential Information means all information disclosed or otherwise provided by Service Provider to Telecom or otherwise obtained by Telecom relating to or developed in connection with the Business which:
Service Provider Confidential Information includes all non-public information that Service Provider considers confidential or proprietary, whether or not labeled “Confidential.” However, the term “Confidential Information” does not include information that (a) is known to COMPANY at the Effective Date and is not subject to another confidentiality obligation to Service Provider as reasonably documented by its written records, (b) is publicly known at the Effective Date or later becomes publicly known under circumstances involving no breach of this Agreement, (c) is lawfully and in good faith disclosed to COMPANY by a third party who is not subject to a confidentiality obligation to Service Provider, or (d) is independently developed by COMPANY without any reference to Confidential Information as reasonably documented by its written records.
Service Provider Confidential Information means all information obtained from Service Provider or any of Service Provider’s Affiliates, including, without limitation, any Service Provider bids or proposals, standard operating procedures, personnel information, all Service Provider Property (as defined above) and any revisions, improvements or enhancements thereto. In addition, any affiliate of Portola receiving information from Service Provider or Service Provider Affiliate shall be bound by these confidentiality obligations. Further, any information disclosed, obtained, or observed by Portola during an audit of Service Provider or an Affiliate of Service Provider, or the facilities of either, with the exception of Portola Confidential Information, shall be treated as confidential by Portola in accordance with the terms contained herein.

Service Provider Confidential Information means any information, however it is conveyed, that relates to the business, affairs, developments, trade secrets, know-how, personnel and suppliers of the SERVICE PROVIDER, including Intellectual Property Rights, together with all information derived from the above, and any other information clearly designated as being confidential (whether or not it is marked as "confidential") or which ought reasonably to be considered to be confidential, including the Commercially Sensitive Information. SERVICE PROVIDER Personnel means all employees, agents, consultants and contractors of the SERVICE PROVIDER and/or of any Sub-Contractor.
Service Provider Confidential Information means information and Data relating to the business or affairs of the Service Provider and/or its employees which is divulged to or obtained by TfL during the bid process, negotiation of this Agreement and/or provision of the Services and which is by its very nature confidential (and whether or not such information is marked or designated as confidential), including but not limited to such information as is referred to in schedule 13 (Service Provider Confidential Information);

Service Provider’s Pre- Existing IPR shall mean any Intellectual Property Rights vested in or licensed to the Service Provider prior to or independently of the performance by the Service Provider of its obligations under the Contract and including, for the avoidance of doubt, guidance, specifications, instructions, toolkits, plans, data, drawings, databases, patents, patterns, models and designs.
