Service Recipient Data definition

Service Recipient Data means all of the data and information owned and provided solely by the Service Recipient, or created by the Service Provider solely on behalf, or for the benefit, of the Service Recipient (including any such data and information created by the Service Provider or the Service Recipient using the Service Provider’s computer systems or software) in relation to the provision of the Services.
Service Recipient Data means all the data owned and provided solely by Service Recipient, or created by Service Provider solely on behalf, or for the benefit, of Service Recipient, that is used by Service Provider solely in relation to the provision of the Services, including employee information, customer information, product details and pricing information.
Service Recipient Data means data or information, including Personal Information, that as between the Parties, is owned or controlled by a Service Recipient and to which a Service Provider Party may have access under this Agreement.

  • Without limiting the foregoing in this Section 14, and subject to applicable law, regulation and privacy policies, each Service Provider will use commercially reasonable efforts to promptly provide to each Service Recipient the Service Recipient Data and the Work Product to which each Service Recipient has a perpetual license pursuant to Section 14(c)(i), in accordance with any mutually agreed delivery schedule.

  • The Intellectual Property rights in and to all Service Recipient Data, literary works or other works of authorship generated in the course of performing Services and paper-based Deliverables under the Agreement, such as specifications, manuals, training materials, reports, and other Documentation, shall be owned by the Service Recipient.

  • If and as requested by Service Recipient, Provider shall deliver to Service Recipient, its Affiliates, and/or the Replacement Provider all documentation and data related to Provider's provision of the Services, including the Service Recipient Data, as well as all procedures, standards, installation guides, user manuals, training material and operating schedules (including the Standards and Procedures Manual), under Provider's control.

  • Each Purchaser also acknowledges that it will, independently and without reliance upon the Collateral Agent or any other Purchaser or any of their Related Parties and based on such documents and information as it shall from time to time deem appropriate, continue to make its own decisions in taking or not taking action under or based upon this Agreement, any other Note Document or any related agreement or any document furnished hereunder or thereunder.

  • Service Recipient shall permit Provider to have access to Service Recipient Data solely to the extent Provider requires access to such data to provide the Services in accordance with the terms of this Agreement.


More Definitions of Service Recipient Data

Service Recipient Data has the meaning provided in Section 11.1.1.
Service Recipient Data means all data and information that is submitted, directly or indirectly, to the Service Provider by Service Recipient or obtained or learned by the Service Provider in connection with the Services, including information relating to Service Recipient, its Affiliates and its or their customers, hotels or hotel operators, technology, operations, facilities, consumer markets, marketing and branding plans and strategies, logos, graphics, financial information and projections, products, capacities, systems, procedures, security practices, research, development, business affairs, ideas, concepts, innovations, inventions, designs, business methodologies, improvements, trade secrets, copyrightable or patentable subject matter, trademarks under development, and other proprietary information.
Service Recipient Data or "Data" means any data of the Service Recipient, including personal information as defined in the PAI Act, and any other applicable legislation in the jurisdiction where the Services are to be provided, supplied, stored, collected, collated, accessed, retained or processed by the Provider, irrespective of the media or form and includes: (a) all data that is in the possession of Service Recipient and/or its Affiliates, and all data concerning or indexing such data (regardless of whether or not owned by Service Recipient and/or its Affiliates or generated or compiled by Service Recipient and/or its Affiliates); and (b) all other records, data, files, input materials, reports, forms and other such items that may be received, computed, developed, used or stored by Provider or any of its Employees, contractors (including Subcontractors) or agents from, for or on behalf of Service Recipient and/or any of its Affiliates, or in connection with the Services.
Service Recipient Data means Personal Data, Employment Data, financial data, and all other information concerning the
Service Recipient Data means all (x) data and information legally or beneficially owned by any Service Recipient (or their Affiliates) prior to the execution of this Agreement, whether in the possession of any Service Provider, any Service Recipient or any of their respective Affiliates, and (y) data, information and reports comprising the results of data processing and other operations undertaken by any Service Provider in providing the Services, but excluding (i) system configuration, monitoring, performance and other technical and operational data and information relating to any Service Provider Infrastructure (including any such data and information generated in providing the Services) and (ii) data and information (other than Service Recipient Data) owned or held by any Service Provider (or their Affiliates) prior to the performance of the applicable Services for any Service Recipient.
Service Recipient Data means all (x) data and information legally or beneficially owned by any Service Recipient (or their Affiliates) prior to the execution of this Agreement (after giving effect to the transfer of assets in the Separation), whether in the possession of any Service Provider, any Service Recipient or any of their respective Affiliates, and (y) data, information and reports comprising the results of data processing and other operations undertaken by any Service Provider in providing the Services, but excluding (i) system configuration, monitoring, performance and other technical and operational data and information relating to any Service Provider Infrastructure (including any such data and information generated in providing the Services) and (ii) data and information (other than Service Recipient Data) owned or held by any Service Provider (or their Affiliates) prior to the performance of the applicable Services for any Service Recipient.
