Cash Settlement Payment Date: The later of (x) the Exchange Business Day immediately following the last day of the Settlement Valuation Period and (y) the earlier of the Exchange Business Day immediately following the date of Counterparty’s Settlement Method Election and the Settlement Method Election Date.
The fifth (5th) Relevant Day immediately preceding the Initial Valuation Date; provided that, with respect to any Accelerated Unwind, the Settlement Method Election Date shall be the date of delivery of the Settlement Notice and Counterparty may only elect the Settlement Method pursuant to “Accelerated Unwind” above.

If the Company does not make such an election prior to the Settlement Method Election Date, the Company shall no longer have the right to elect a Cash Percentage and the Company shall settle its Conversion Obligation paying cash in respect of the principal portion of the Notes being converted and delivering shares of Common Stock in respect of the remainder, if any, of the Company’s Conversion Obligation in excess of the aggregate principal portion of the Notes being converted.
Counterparty agrees that it shall settle any Relevant Convertible Securities with a Conversion Date on or after the Final Settlement Method Election Date in the same manner as provided in the Notice of Convertible Security Settlement Method it provides or is deemed to have provided hereunder.
