Severable Improvements definition

Severable Improvements means Improvements that do not fall within the scope of a claim of any of the Patent Rights;

Severable Improvements means any fixtures, alterations, improvements, modifications or additions (i) that are not required to be made to comply with Legal Requirements or Insurance Requirements, and (ii) that can be removed from the applicable Property without (x) causing damage to such Property that cannot be readily repaired by the Lessee or (y) materially impairing the value, utility or useful life of such Property from that set forth in the Appraisal thereof delivered on the Restatement Effective Date.

Severable Improvements means such improvements and enhancements to the processes, whether patentable or not, (i) generated by or on behalf of Patheon, alone or jointly with Tricida, (ii) during the course of the Services, (iii) that are not specially adapted to the manufacture of API, an API intermediate, a product containing API, or a polymer having the capability to [***], and (iv) can be used outside the Field. For the purposes of this definition, the services performed under obligations under the K1 Contract, K2 Contract, K3 Contract, and K4 Contract shall be deemed to be during the course of the Services for purposes of this definition and this MDA.

Examples of Severable Improvements in a sentence

• The endorsement shall only be issued when the Amount of Insurance in Schedule A includes the aggregate of the Full Value of the Land or Full Value of the Leasehold Estate and/or Easement Estate and Full Value of the Severable Improvements and Full Valuable of the Electricity Facility.

Severable Improvements means severable improvements to or for the benefit of the Arena and its patrons and whether on the property of the City, the Manager or an Affiliate of Manager.

Severable Improvements means alterations, additions, upgrades, and improvements to the Equipment that: (a) are not required to make the Equipment usable as intended by Lessee at the Commencement Date; (b) are separately identifiable personal Property; and (c) are capable of being readily removed from the Equipment without causing material damage to the Equipment and without materially reducing the original functional utility or Fair Market Value of the Equipment. Lessee shall not remove any Severable Improvement from the Equipment unless Lessee returns the Equipment to its original condition and functional utility.

Severable Improvements means an Improvement to the Sepracor Technology which is capable of exploitation independently of the Sepracor Technology Controlled by Sepracor or its Affiliates as of the Effective Date and during the Term of this Agreement.

Severable Improvements means any Improvement which if used or practised without licence from the Party who owns or controls the relevant Background Intellectual Property would not infringe that Party’s Intellectual Property Rights.

Valid Claim means rights derived from (a) an issued and unexpired patent included within the Patents Rights, which has not been held permanently revoked, unenforceable or invalid by a decision of a court or other governmental agency of competent jurisdiction, without appeal or possibility of appeal within the time allowed for appeal, and which has not been admitted to be invalid or unenforceable through reissue or disclaimer or otherwise; or (b) a pending patent application included within the Patents Rights which claim was filed in good faith and has not been abandoned or finally disallowed without the possibility of appeal or re-filing of the application.
