Severance Amount definition

Severance Amount means (A) for any Termination other than during a Covered Period, an amount equal to one hundred percent (100%) of Executive’s then-current Annual Base Salary as of the respective Termination; or (B) for a Termination during a Covered Period, an amount equal to two hundred percent (200%) of Executive’s Base Compensation as of the respective Termination.
Severance Amount means an amount equal to two times Executive’s Annual Compensation.
Severance Amount means an amount equal to the aggregate Base Salary which would have been earned by Executive under this Agreement for the period commencing on the day after termination of the Consulting Agreement Period and ending on the Scheduled Expiration Date; provided that if the Company terminates the Consulting Agreement due to Executive’s material breach of any term thereof, the Severance Amount shall be reduced to zero.

Examples of Severance Amount in a sentence

  • If Executive’s Severance Amount determined in accordance with the COC Agreement on Executive’s actual Termination Date (the “Actual Severance Amount”) exceeds the Accelerated Severance Payment, the Company shall pay such excess amount (less applicable taxes and other withholdings) to Executive.

  • If the Actual Severance Amount is less than the Accelerated Severance Payment, Executive shall repay to the Company the excess of the after-tax amount of the Accelerated Severance Payment over what would have been the after-tax amount of the Actual Severance Payment.

  • The Company or the Successor may withhold from the Severance Amount all federal, state, city or other income or employment taxes as may be required under any law, governmental regulation or ruling.

  • Notwithstanding the foregoing, and in addition to any other rights or remedies the Company may have at law or in equity, if Employee breaches any of the provisions of the Restrictive Covenant Agreement, Employee's right to receive further payments of the Severance Amount shall be terminated.

  • The Employee’s right to the Severance Amount hereunder shall not be assignable or transferable, whether by pledge, creation of a security interest or otherwise, other than a transfer by will or by the laws of descent or distribution.
