Share Price definition

Share Price means any price of the Share as published by the Exchange.
Share Price shall have the meaning specified in Section 14.03(c).
Share Price means the most recent price (last price) at which the Share traded during the trading hours on the Exchange.

  • In the event and to the extent that the Underwriter shall exercise the election to purchase any of the Option Shares as provided below, the Company agrees to sell to the Underwriter, and the Underwriter agrees to purchase from the Company, at the Per Share Price, the Option Shares.

More Definitions of Share Price

Share Price has the meaning set forth in Section 8.2.
Share Price means on any day, the price of the relevant Share quoted on the relevant Exchange as determined by the Issuer as at the Valuation Time on such day.
Share Price means the price paid per share of Common Share in the transaction constituting the Change in Control, determined as follows: (A) if holders of Common Shares receive only cash in the transaction constituting the Change in Control, the Share Price shall equal the cash amount paid per share of Common Share; and (B) in all other cases, the Share Price shall equal the average Closing Price of a Common Share over the five Trading Day period ending on the Trading Day immediately preceding the Effective Date.
Share Price means, as of a particular date, the Fair Market Value of one Share on such date (or, if such date is not a trading day, the most recent trading day immediately preceding such date); provided further, however, that if such date is the date upon which a Transactional Sale Event occurs, the Share Price as of such date shall be equal to the fair market value in cash, as determined by the Committee, of the total consideration paid or payable in the transaction resulting in the Transactional Sale Event for one Share.
Share Price has the meanings specified in Sections 6.6(b) and (c), as applicable.
Share Price has the following meaning for any Make-Whole Fundamental Change: (A) if the holders of Ordinary Shares receive only cash in consideration for their Ordinary Shares in such Make-Whole Fundamental Change and such Make-Whole Fundamental Change is pursuant to clause (B) of the definition of “Fundamental Change,” then the Share Price is the amount of cash paid per Ordinary Share in such Make-Whole Fundamental Change; and (B) in all other cases, the Share Price is the average of the Last Reported Sale Prices per Ordinary Share for the five (5) consecutive Trading Days ending on, and including, the Trading Day immediately before the Make-Whole Fundamental Change Effective Date of such Make-Whole Fundamental Change.
Share Price means the closing price of a Common Share on the TSX averaged over the five (5) consecutive trading days immediately preceding (a) in the case of a Grant, the last day of the fiscal quarter preceding the date of Grant in respect of a director, or (b) in the case of a redemption, the Redemption Date, as applicable, or in the event such shares are not traded on the TSX, the fair market value of such shares as determined by the Committee acting in good faith.
