Shareholder Distributions means any distributions of money or other property by the General Partner to Shareholders, including distributions that may constitute a return of capital for U.S. federal income tax purposes, with the exception of distributions paid on shares of Common Stock repurchased or redeemed by the General Partner.

Shareholder Distributions shall have the meaning ascribed to such term in Section 6.20(b) hereof.

Shareholder Distributions means all payments, dividends or distributions made by the Borrower or any Subsidiary to any holder (other than to the Borrower or any Guarantor) of the Capital Stock of the Borrower or such Subsidiary.

In accordance with the time periods prescribed by applicable Law and as may be determined by the applicable Tax authorities, the Company shall (A) file the appropriate Tax Returns and make the other appropriate filings with respect to the sale of the Purchased Assets, the Shareholder Distributions and Surtax Liability and the Withholding Obligations, as approved by the Purchaser, and (B) pay all Taxes and other amounts shown to be due thereon.
