Shareholder Notice definition

Shareholder Notice means a notice that (1) complies with the requirements of this Section 5.15 and (2) is given by or on behalf of an Eligible Shareholder.

Shareholder Notice has the meaning ascribed to it in Section 5.1(b).

Shareholder Notice means written notice from a Shareholder notifying the Company and the Selling Shareholder that such Shareholder intends to exercise its Secondary Refusal Right as to a portion of the Transfer Shares with respect to any Proposed Shareholder Transfer.

• Notwithstanding anything contained to the contrary in this Section 1.4, InvestCo shall have the absolute right, whether before or after the giving of a Piggy-Back Notice or receiving the Shareholder Notice, to determine not to file a registration statement in which the Shareholder shall have the right to include their shares of InvestCo Stock pursuant to this Section 1.4, to withdraw such registration statement or to delay or suspend pursuing the effectiveness of such registration statement.
