Shareholder Representative definition

Shareholder Representative has the meaning set forth in the preamble.

Shareholder Representative means a person who is an employee or officer of the Member or its subsidiaries or an Energy Company designated as such on an in-force policy of the Company and is authorized to act on behalf of the Member with regard to the Company.

Shareholder Representative has the meaning set forth in Section 6.23(c).

• Pursuant to Article X of the Merger Agreement, Shareholder hereby irrevocably designates Shareholder Representative to serve as the Shareholder Representative and as the agent, proxy, and attorney in fact for Shareholder pursuant to the terms of Article X of the Merger Agreement, which terms are incorporated herein by this reference, and agrees to abide by and be bound by the terms of such Article X.
