More Definitions of Shareholder Securities

Shareholder Securities shall have the meaning as assigned to it under Clause 9.1.
Shareholder Securities means any Current Shareholder Securities and any LTI Securities of which any Interested Party or Affiliate thereof becomes the Beneficial Owner after becoming an Interested Party hereunder. Shareholder Securities means the Existing Shares together with any Target Ordinary Shares or other voting securities of Target acquired by the Shareholder or any of the Shareholder’s affiliates after the date hereof and prior to the termination of this Agreement, whether upon the exercise of options, warrants or rights, the conversion or exchange of convertible or exchangeable securities, or by means of purchase, dividend, distribution, split-up, recapitalization, combination, exchange of shares or the like, gift, bequest, inheritance or as a successor in interest in any capacity or otherwise.
