Shareholder Stock definition

Shareholder Stock means (i) all Company Securities now owned or hereafter acquired by the Shareholder or any member of the Shareholder's Family Group, and (ii) all Company Securities issued with respect to the Company Securities referred to in clause (i) above by way of stock dividend or stock split or in connection with any combination of shares, merger, consolidation, recapitalization or other reorganization. All Shareholder Stock will continue to be Shareholder Stock in the hands of any transferee, other than (x) the Company, (y) any Trivest Affiliate and (z) purchasers pursuant to an offering registered with the Securities and Exchange Commission pursuant to the Securities Act or purchasers pursuant to a public sale through a market-maker, broker or dealer under Rule 144 (or any successor rule) promulgated under the Securities Act. Shareholder Stock under this Agreement does not include any stock which is "Shareholder Stock" under other agreements among the Company, the Lead Trivest Investor and employees (or independent sales representatives) of the Company or its Subsidiaries regarding the purchase of the Company's Common Stock.
Shareholder Stock means (i) shares of Common Stock owned by any Shareholder or any transferee thereof; (ii) shares of Common Stock issued or issuable upon the conversion or exercise of any stock (including, without limitation, the Series D Preferred) warrants, options or other securities of the Company owned by such Shareholder or any transferee thereof; and (iii) any shares of Common Stock issued as a dividend or other distribution with respect to or in exchange for or in replacement of the shares referenced in (i) and (ii) above.
Shareholder Stock and “Shareholder’s Stock” mean the shares of Common Stock, Series A Stock, and other capital stock of the Company that are now owned or are subsequently acquired by a shareholder by gift; conversion of the Notes, Series A Stock, or other convertible debt or convertible equity securities of the Company; purchase; dividend; exercise of the Warrants or any other options, warrants or other security or right of any kind convertible into or exchangeable for Common Stock issued by the Company; or any other means whether or not such securities are only registered in a shareholder’s name or beneficially or are legally owned by such shareholder, including any interest of a spouse in any Shareholder Stock, whether that interest is asserted pursuant to marital property laws or otherwise.

Examples of Shareholder Stock in a sentence

  • Any Transfer or attempted Transfer of any Restricted Shareholder Stock in violation of the preceding sentence shall be void, and the Company shall not record such Transfer on its books or treat any purported transferee of such Restricted Shareholder Stock as the owner of such stock for any purpose.

  • Notwithstanding anything to the contrary contained in the Securityholders' Agreement, no Shares of Restricted Shareholder Stock that have not become Vested Shares pursuant to Section 2 hereof may be transferred to any Person and no Shares of Restricted Shareholder Stock that are Vested Shares may be transferred to any Person who is not an Affiliate of the Restricted Shareholder.

  • The Restricted Shareholder understands that under applicable law such election must have been filed with the IRS no later than thirty (30) days after any acquisition of the Restricted Shareholder Stock to be effective.

  • If the Restricted Shareholder did not file an effective election, all appreciation on the Restricted Shareholder Stock from the date of the Original Agreement would generally be taxable as ordinary income when such stock vests pursuant to the Original Agreement, as amended and restated hereby.

  • All of such shares of Class B Common Stock purchased by the Restricted Shareholder pursuant to the Original Agreement are referred to herein as "Restricted Shareholder Stock." To secure the Company's rights under the Repurchase Option in Section 3, the Company has retained possession of the certificates representing the Restricted Shareholder Stock and has provided the Restricted Shareholder with copies thereof.

Shareholder Stock shall have the meaning set forth in Section 3.2.4.

Shareholder Stock means any and all shares of the Company.

The number of shares of Shareholder Stock owned by each of the Shareholders as of the date of this Agreement is set forth on Exhibit A, which exhibit may be amended from time to time by the Company to reflect changes in the number of shares of Shareholder Stock owned by the Shareholders, but the failure to so amend shall have no effect on any Shareholder Stock being subject to this Agreement.
Shareholder Stock means all shares of Common Stock and other equity securities now held or hereafter acquired by Xxxxxx Xxxxxxx.
