The Company agrees to issue to the Investor at the Closing, transferable divisible warrants (the "Short-Term Warrants" and, together with the Long-Term Warrants, the "Investor Warrants") to purchase up to 2,857,143 shares of Common Stock.
Subject to the terms and conditions of the Short-Term Warrants, the Company, at its option, may, upon written notice to the Investor, call up to one hundred percent (100%) of the Investor Warrants if the Common Stock trades at a price equal to or greater than $1.40 per share for five (5) consecutive trading days prior to the date the Company calls the Short-Term.
Such Short-Term Warrants shall bear an exercise price per share of Common Stock equal to $.70 cents and shall be exercisable, immediately upon issuance, and for a period of one hundred and twenty (120) days thereafter.
Certificates for Common Shares shall be delivered or mailed within three (3) Business Days after the exercise of the Short-Term Warrants.
For greater certainty, a Holder of Long-Term Warrants shall not enjoy the foregoing rights of inspection for the register of the Short-Term Warrants unless such Holder is also a Holder of Short-Term Warrants (and vice versa).
