Significant Contracts definition

Significant Contracts shall have the meaning set forth in Section 3.9.
Significant Contracts means any contract that would be required to be submitted to the board of directors of Clorox in accordance with the policies of Clorox for authorization and approval of contracts to which Clorox or its Subsidiaries are a party as such policies are in effect as of the Original Date.
Significant Contracts shall have the meaning given to such term in Section 4.10.

More Definitions of Significant Contracts

Significant Contracts means the significant contracts pertaining to or regulating relevant assets, liabilities, affairs of and relationships between the Villa Companies, the Sharemax Syndication Companies, Sharemax Investments and therefore the group, following the sanctioning of the scheme being available for inspection at the offices of the Company Secretarial Services Provider, and as, specifically, dealt with in paragraphs 16 and 17 of the Explanatory Statement, and clause 4.10 below. Appendix “ARR4” to this scheme document contains a list of the Significant Contracts;
Significant Contracts means the Unit Contract and the Tax Allocation Agreement.
Significant Contracts means the following contracts, in each case as the same may be amended, modified or supplemented from time to time in accordance with this Agreement:
Significant Contracts means those significant contracts identified by the Parties at Closing.
Significant Contracts means (a) all of the Contracts to which Seller is a party or by which Seller is bound under which Seller’s payment obligations, or Seller’s rights to receive payment, exceed $25,000 in any 12-month period or $100,000 over the term of the Contract, or on which Seller is otherwise substantially dependent in connection with the conduct of the Business, (b) any agreement with a customer (including any master agreement pursuant to which Seller has entered into multiple service agreements covering individual hotels) under which Seller’s right to receive payment exceeds $25,000 in any 12-month period or $50,000 over the term of the Contract, (c) any outstanding purchase order or group of purchase orders, or understandings or commitments payable to the same payee pursuant to which the amount payable to Seller exceeds $25,000, (d) any agreement governing a general or limited partnership, limited liability company or other form of joint venture to which Seller is a party or by which Seller is bound, (e) any agreement under which Seller has created, incurred, assumed or guaranteed or may be obligated to create, incur, assume or guarantee any Indebtedness or any capitalized lease obligation in an amount in excess of $25,000 or under which Seller has imposed an Encumbrance on any of Seller’s assets having a book value in excess of $5,000, (f) any agreement, arrangement or commitment under which Seller has agreed or committed to advance or loan or has advanced or loaned any amount to any of its directors, officers or employees or any family member thereof, other than advances with respect to reasonable and customary business expenses incurred in the ordinary course of business, (g) any agreement, arrangement or commitment entered into outside the ordinary course of business and pursuant to which any obligations or liabilities (whether absolute, contingent or otherwise) remain outstanding,

Significant Contracts means the following contracts, agreements or understandings to which Seller and its Affiliates (including the Acquired Entity) are party and relating primarily to the ownership and operation of the Business:
