Significant Member definition

Significant Member means each Member whose Ownership Percentage is at least 3%.
Significant Member means a Member (if any) whose Percentage Interest is [10]% or more.
Significant Member means a Member (if any) whose Percentage Interest is 10% or more.

Examples of Significant Member in a sentence

  • For purposes of this Section 9.02 only, “Offer Pro Rata Portion” means, with respect to a non-Offeror Significant Member, that fraction that results from dividing (i) the Membership Percentage of such non-Offeror Significant Member by (ii) the Membership Percentage of all non-Offeror Significant Members.

  • Each Significant Member receiving such Initial Offer Notice shall have a 30-day period (the “Initial Offer Period”) in which to accept such Initial Offer as to all of such Significant Member’s Offer Pro Rata Portion of the Offered Units by giving a notice of acceptance to such Offeror (together with a copy thereof to the Company) prior to the expiration of such Initial Offer Period.

  • If the Divorced Member does not elect to purchase such Divorce Units within such 30-day period, the Divorced Member shall give written notice (the “Non-Election Notice”) to each Significant Member (with a copy to the Company), no later than two (2) Business Days after the expiration of such 30-day period, indicating that the Divorced Member has not elected to purchase the Divorce Units.

  • A failure by any Non-Transferring Significant Member to validly deliver an Acceptance Notice during the Refusal Period shall be deemed a rejection of the First Refusal Offer and a waiver of such Non-Transferring Significant Member’s right to purchase any portion of the First Refusal Units.

  • To the maximum extent permitted by applicable law, no Member, including each Significant Member, in its capacity as such, shall have any personal liability whatsoever, to the Company or to the other Members, for any action or omission taken in its capacity as a Member or for the debts or liabilities of the Company or the Company’s obligations hereunder except pursuant to any express indemnities given to the Company by such Member pursuant to any other written instrument.


More Definitions of Significant Member

Significant Member means any person who has a legal or beneficial interest (whether direct or indirect, including by way of a position in a Financial Instrument) in 3% or more in any class of shares admitted to AIM;
Significant Member a Significant Subsidiary, as defined in Regulation S-X promulgated under the Securities Act of 1933, as amended, as such Regulation is in effect on the Closing Date; provided that where such Regulation refers to “10%”, such “10%” shall be replaced by “5%” for the purposes of this Agreement.
Significant Member means any Member holding more than fifteen percent (15%) in number of all outstanding Class A Units and Class B Units held by all Members (including the Manager, the Parent and all Controlled Entities of either of them).
Significant Member means, as of a particular date, each Class C Common Member holding a Percentage Interest (when aggregated with the Percentage Interest of its Affiliates and Permitted Transferees) equal to or greater than 5.0 % as of such date. For the avoidance of doubt, no Series A-1 Member or Class C-1 Member shall be or be deemed to be a Significant Member hereunder.

This Schedule shall only have effect during such times as any Common Shares, or securities in the capital of the Corporation, are admitted to trading on AIM or a Regulated Market. During such time, each shareholder shall be under an obligation to make notifications in accordance with the provisions of this Schedule.
Significant Member shall have the meaning set forth in Section 9.2(a).
