Significant Member definition

Significant Member means each Member whose Ownership Percentage is at least 3%.
Significant Member means a Member (if any) whose Percentage Interest is 10% or more.
Significant Member means any person who has a legal or beneficial interest (whether direct or indirect, including by way of a position in a Financial Instrument) in 3% or more in any class of shares admitted to AIM;

Examples of Significant Member in a sentence

  • For purposes of this Section 9.02 only, “Offer Pro Rata Portion” means, with respect to a non-Offeror Significant Member, that fraction that results from dividing (i) the Membership Percentage of such non-Offeror Significant Member by (ii) the Membership Percentage of all non-Offeror Significant Members.

  • Each Significant Member receiving such Initial Offer Notice shall have a 30-day period (the “Initial Offer Period”) in which to accept such Initial Offer as to all of such Significant Member’s Offer Pro Rata Portion of the Offered Units by giving a notice of acceptance to such Offeror (together with a copy thereof to the Company) prior to the expiration of such Initial Offer Period.

  • The Tax Matters Member shall inform each other Significant Member of all significant matters that may come to its attention in its capacity as such by giving notice thereof within ten (10) days after becoming aware thereof and, within such time, shall forward to each other Significant Member copies of all significant written communications it may receive in such capacity.


More Definitions of Significant Member

Significant Member means a Member (if any) whose Percentage Interest is [10]% or more.
Significant Member a Significant Subsidiary, as defined in Regulation S-X promulgated under the Securities Act of 1933, as amended, as such Regulation is in effect on the Closing Date; provided that where such Regulation refers to “10%”, such “10%” shall be replaced by “5%” for the purposes of this Agreement.

Significant Member means, at any time, any Member that holds (including affiliated investment funds of such Member and funds under common control of the same asset management firm as such Member) an Aggregate Senior Equity Unit Percentage of more than four percent (4%) at such time.
Significant Member means, as of any time of determination, any Member that owns or holds (together with its Affiliates) five percent (5.0%) or more of the issued and outstanding Class A Units as of such time.
