Significant Vendor definition

Significant Vendor means any person who offers or who proposes
Significant Vendor means (i) each of the 20 largest vendors to the Company and its Subsidiaries, (or groups of related vendors or suppliers) by gross spend, taken as a whole, during the 12-month period ended on December 31, 2015, which vendors are set forth on Section 1.1(eee) of the Company Disclosure Letter; and (ii) any other material vendors or suppliers of the Company with material agreements with the Company who are data center, data processing, cloud or hosting vendors.
Significant Vendor has the meaning set forth in Section 4.19.

Examples of Significant Vendor in a sentence

  • Since January 1, 2024, no Significant Vendor or Significant Customer has provided written notice of its intent, or taken any action, to cancel, or materially alter or decrease the volume of payments or sales, or, to the Sellers’ Knowledge, threatened to do any of the foregoing, with respect to any arrangement with the Technology Business.

  • Seller has no reason to believe that a Significant Customer or Significant Vendor is reasonably likely or will, as a result of the transactions contemplated by this Agreement and all agreements and instruments delivered in connection herewith: (x) not trade with or supply the Seller, (y) reduce substantially its trading with or provision of goods or services to the Seller, or (z) change the terms and conditions on which it is prepared to trade with or supply the Seller.

  • Since December 31, 2003, no Significant Customer or Significant Vendor has: (a) stopped or indicated its intention to stop trading with or supplying Sellers, (b) materially reduced its trading with or provision of goods or services to Sellers, or (c) changed materially the terms and conditions on which it is prepared to trade with or supply Sellers.

  • Seller has no Knowledge of any facts, conditions or events that might give rise to a claim by Seller against any of the Significant Customers or Significant Vendors or any claim by such a Significant Customer or Significant Vendor, in each case, relating to the Aerospace Business.

  • Except as set forth on Schedule 3.18(b), during the prior twelve (12) months, none of the Acquired Entities has received any written notice or other written, or, the Knowledge of the Seller Parties, oral communication from any Significant Vendor that such Significant Vendor has or intends to terminate or materially reduce its relationship with the Acquired Entities.


More Definitions of Significant Vendor

Significant Vendor has the meaning provided in Section 3.21(b).
Significant Vendor means the ten (10) largest vendors, service providers and suppliers of the Company and the Company Subsidiaries for each of the most recent fiscal year.
Significant Vendor means (i) each of the 10 largest suppliers, vendors, content partners or service providers to the Company and its Subsidiaries (or groups of related vendors or suppliers) by payments on invoices, taken as a whole, during the 12-month period ended on December 31, 2021, which vendors are set forth on S ection 1.1(rrr) of the Company Disclosure Letter; and (ii) any other material vendors or suppliers of the Company with material agreements with the Company who are data center, data processing, cloud or hosting vendors.
Significant Vendor means any Vendor party to any Project Document in respect of good, services or any combination thereof that has a contract price, purchase price or similar price equal to or greater than $500,000.
Significant Vendor is defined in Section 3.1.13.
Significant Vendor means either (i) any of the top ten (10) suppliers of products or services based on the amounts paid or payable to the Company or its Subsidiaries by such suppliers, or (ii) any of the top ten (10) suppliers of products or services based on the amounts paid or payable by the Company or its Subsidiaries to such supplier, in each case for the twelve (12) month period from January 1, 2010 to December 31, 2010. Each Significant Vendor is listed on Section 3.19 of the Company Disclosure Letter together with the total payments to each such Significant Vendor by the Company or its Subsidiaries, or by each such Significant Vendor to the Company or its Subsidiaries, as the case may be, for the twelve (12) month period from January 1, 2010 to December 31, 2010. Neither the Company nor any of its Subsidiaries has received any written or, to the knowledge of the Company, other formal notice from any Significant Vendor that: (i) such Significant Vendor intends to decrease or materially limit its supply of products or services to the Company, or its placement of advertisement through the Company Products; or (ii) such Significant Vendor shall not continue as a vendor to the Company (or the Surviving Corporation) after the Closing or that such Significant Vendor intends to cancel, terminate, or in any material manner that would reasonably be expected to be adverse to the Company or its Subsidiaries or the Surviving Corporation and its Subsidiaries, modify any existing Contracts with the Company.
Significant Vendor any supplier to an Acquired Company from which such Acquired Company ordered raw materials, supplies, merchandise or other goods with an aggregate purchase price of $50,000 or more during the eight-month period ended August 31, 1998.
