In the event Parent enters into a Change of Control at any time on or after the Six Month Anniversary and the Surviving Person does not assume all of the Parent’s and the Surviving Corporation’s obligations under this Agreement pursuant to Section 14.1 through 14.3 hereof, then subject to and in accordance with the terms of this Agreement, immediately following such announcement each CVR shall be converted and become the right to receive a number of CVR Shares as set forth in Section 4.4(b) below.
The Interim Backstop Payment shall be made no later than the third Business Day following the Six Month Anniversary Date (the "Interim Closing") by wire transfer of immediately available funds to an account or accounts designated in writing by the Investor prior to the Interim Closing.
