SOFR Reserve Percentage definition

SOFR Reserve Percentage means, for any day, the maximum effective percentage in effect on such day, if any, as prescribed by the Board of Governors of the Federal Reserve System (or any successor) for determining the reserve requirements (including, without limitation, supplemental, marginal and emergency reserve requirements) with respect to SOFR funding.

In computing the amount of contingent liabilities at any time, it is intended that such liabilities will be computed at the amount which, in light of all the facts and circumstances existing at such time, represents the amount that can reasonably be expected to become an actual or matured liability. “Specified Event of Default” means the occurrence of any Event of Default described in any of Sections 7(a), 7(b) (but solely with respect to a misrepresentation made in any Borrowing Base Certificate), 7(c)(i) (but solely with respect to Sections 5.01(a), 5.01(b), 5.01(d), 5.01(e) and Article VI) or 7(e).
