Software Product definition

Software Product means any COTS which you propose to provide pursuant to the contract.

Software Product means the Hexagon software product(s) identified in the Order Documents, which includes (i) any associated Hexagon files or media with which the software is provided, (ii) any associated templates, data, printed materials, and “online” or electronic Documentation, and (iii) any Updates or Upgrades of such Software Products not made the subject of a separate license agreement. The term Software Products shall not include, and no rights of use are granted to User for, Third Party Components, Hexagon products, or dependencies unnecessary to operate products made the subject of the Order Documents, but incidentally delivered within the same files or media. Software Product shall not mean any Third Party Software. For the avoidance of doubt, Cloud Programs and their contents are not “Software Products” as that term is used herein. Software Products are subject to all of the terms and conditions of the End-User License Agreement which the Parties agree will apply to the same; and in the absence of such agreement, then the terms of the End-User License Agreement provided with the Software Product.

Software Product means the software product specified in the Agreement.

Examples of Software Product in a sentence

• Subject to and conditioned upon Licensee’s compliance with the terms of this XXXX, the Licensor grants to Licensee, a revocable, non-exclusive, non- transferrable, non-sublicensable limited license to use and display such trademarks of Licensor and its licensors that is included in the Software Product provided such use and display is at all times consistent with the guidelines and requirements relating to such use and display as the Licensor and its licensors may establish from time to time.

• Only object code, machine-readable versions of the Software Product are licensed to Licensee hereunder, and Licensee has no rights under this XXXX to the source code versions of the Software.

• Licensor reserves the right to terminate this XXXX and Licensee’s corresponding right to use the Software Product in the event Licensee breaches a material obligation under this XXXX and fails to cure such breach within thirty (30) days after Licensor sends written notice describing the breach if such breach is capable of being cured, or immediately if the breach is not capable of being cured.

• The term applicable to Licensee’s use of the Software Product shall be on a: (i) Subscription basis subject to payment of the applicable subscription fees for each term; or (ii) Perpetual basis, as indicated in the Agreement.

• Upon any termination of this XXXX, or if Licensee should discontinue use of the Software Product or give up personal use and control of the computers or other hardware on which the Software Product is installed, Licensee shall destroy all copies of the Software Product and any related Documentation in any form.

More Definitions of Software Product

Software Product means the product(s) identified in Section 1 below, and the term “License” shall mean the right to make, use or access a particular copy of the Software Product. The Software Product is protected by copyright laws and international copyright treaties, as well as other intellectual property laws and treaties. The Software Product is licensed, not sold. By signing below and installing, copying, or otherwise using the Software Product, you agree to be bound by the terms of this Student XXXX.

Software Product means the computer programme[s] in object code form together with all components thereof and all updates, patches, fixes, modifications and enhancements thereto, including releases of new versions and any and all accompanying documentation, files and materials (“Licensed Materials”) and excludes source code material and all preparatory design material. “软件产品”指目标代码形式的计算机程序及其所有组件和所有的更新、补丁、修复、修正及优化，包括发布的新版本及所有附属文书、文档及材料（“被许可物”）但不包括源代码资料和所有准备设计资料。

Software Product means a specific software product identified in the Schedule, including cloud based software-as-a-service solution of a Roche Affiliate which also includes drivers for instruments or accessories provided by Roche, as applicable.

Software Product includes Hexagon’s or Hexagon’s Affiliate’s computer software and all of the contents of the files, disk(s), CD-ROM(s) or other media with which the software is provided, including any templates, data, printed materials, and “online” or electronic documentation, all copies, and any Updates of such Software Products. Software Products are subject to all of the terms and conditions of the End-User License Agreement (“XXXX”) provided with the Software Product.

Software Product means Software which is licensed or sublicensed or otherwise offered, provided, distributed, made available, or commercialized (including by way of “Software as a service” offerings, on a hosted basis, or otherwise), or is being developed and contemplated to be commercially released within twelve (12) months from the date hereof, by or for any of the Acquired Companies to any other person. Except for purposes of Section 3.14(a), references to Software Products also refer to Updates of such Software Products.

Software Product means, subject to Clause 2, ASSA ABLOY’s standard version of its proprietary software applications, APIs and modules, as further identified in the Agreement.

Software Product means the desktop application, or software application and platform that We provide via the Site, installed on your servers and / or computers, including associated offline components, but excluding Third Party Applications.
