Source Code Materials definition

Source Code Materials meansincludes, but is not limited to, all of the following: 1) Aa copy of all source code that implements ERDS functionality; 2) Aa copy of the compiler needed to compile the ERDS source code in escrow; 3) Instructionsinstructions for installation and use of the ERDS source code compiler; and 4) Instructionsinstructions that facilitate reviews, modification, and/or recompiling the source code.
Source Code Materials as it pertains to source code of any Software means: (i) the software, tools and materials utilized for the operation, development and maintenance of the Software; (ii) documentation describing the names, vendors and version numbers of (x) the development tools used to maintain or develop the Software and (y) any third-party software or other applications that form part of the source code version of the Software and are required in order to compile, assemble, translate, bind and load the Software into executable releases; (iii) all programmers’ notes, bug lists and technical information, systems and user manuals and documentation for the Software, including all job control language statements, descriptions of data structures, flow charts, technical specifications, schematics, statements or principles of operations, architecture standards and annotations describing the operation of the Software; and (iv) all test data, test cases and test automation scripts used for the testing and validating the functioning of the Software.
Source Code Materials means, with respect to a software program, the --------------------- human-readable source code for such software program that can be compiled into machine-executable object code, annotated source code listings, flow charts, decision tables, schematics, design details, instructions, and other related technical documentation necessary to understand the design, structure, and implementation of the software program such that a third party programmer reasonably skilled in the programming language used for such source code could maintain, support, and modify the software program without further assistance or references to other materials.

  • The Contractor warrants that the Software will perform according to the specifications set forth in the Contract, that it is owner of the Software, Source Code Materials, and Documentation that it has the right to convey and grant the license herein granted to Metro, and that Metro's use thereof as herein contemplated will not infringe any third party's proprietary rights in the United States.

  • License Rights The Contractor hereby grants to Metro a royalty-free, paid-up, non-exclusive license, in perpetuity, to use duplicate, and disclose the Software, Source Code Materials, and Documentation, and to make modifications of and enhancements to the Software, and permit others (who sign standard nondisclosure agreements) to do the same, but only for governmental purposes and not for any commercial purposes.

  • The Escrow Agent shall provide written acknowledgement of the receipt of the Source Code Materials to the Source Code Owner (with a copy of such acknowledgement to Concessionaire and the Department), and any subsequent additions or modifications to the Source Code Materials, promptly upon receipt thereof.


More Definitions of Source Code Materials

Source Code Materials means the computer programming code in the Software in human readable form and all technical information and documentation required to enable a competent team of appropriately qualified and skilled programmers to understand, operate, correct and modify the Software concerned;
Source Code Materials as it pertains to source code of any Software means: (a) the software, tools and materials utilized for the operation, development and maintenance of the Software; (b) documentation describing the names, vendors and version numbers of (i) the development tools used to maintain or develop the Software; and (ii) any third-party software or other applications that form part of the Software and are therefore required in order to compile, assemble, translate, bind and load the Software into executable releases; (c) all programmers’ notes, bug lists and technical information, systems and user manuals and documentation for the Software, including all job control language statements, descriptions of data structures, flow charts, technical specifications, schematics, statements or principles of operations, architecture standards and annotations describing the operation of the Software; and (d) all test data, test cases and test automation scripts used for the testing and validating the functioning of the Software.
Source Code Materials means then current versions of Source Code, all proprietary tools required for use of the Licensed Programs under this Contract, all Source Code-related documentation to the extent the same exists at the time, a list of all Open Source code utilized with the Licensed Programs, and all operation documents, including but not limited to documents describing the third-party tools and the methods and procedures utilized for the installation, configuration and operation of the Licensed Programs.
Source Code Materials means, in relation to each item of Specially Written Software and each item of Deposited Software (the "Relevant Software"): (a) the Relevant Software expressed in a source language or form readable by a human (and that can be interpreted or compiled and then executed by a computer as commands); (b) a running object code version of the Relevant Software on media that is acceptable to the DCC (acting reasonably) and which is free from malicious software in a compiled form ready to be executed by a computer; (c) copies of any relevant maintenance tools, compilers and assemblers; (d) details of all hardware (including communications links) required in order to operate the Relevant Software; (e) details of relevant hardware, processor and system configurations applicable to the Relevant Software; (f) descriptions of any generally-available third party software required for the support or maintenance of the Relevant Software and its availability; and all documentation and tools (including the Relevant Software expressed in a source language that can be interpreted by a human) reasonably required for a person having commercially available computer programming skills to read, understand and modify the Relevant Software; "Specially Written Software" means any software (with the exception of scripts): a) which is created by the Contractor (or any third party on behalf of the Contractor) specifically for the purposes of this Agreement; or b) arising as a result of the performance of the Contractor's obligations under this Agreement, and in each case, including all updates and amendments of these items;
Source Code Materials means in relation to any software the source code of that software in a human readable format in a recognised computer programming language and includes all programming aids and tools, documentation, reports, data, designs, concepts, know-how, documentation explaining the operation of the computer program and all other information created or used in the creation of the Software. The Source Code Materials also include such statements of principles of operation and schematics as well as any pertinent commentary, explanation, program (including compilers), tools, and any other material used for the development, maintenance, implementation or use of the Software so that a trained computer programmer could develop, maintain, enhance, modify, support, compile and use all releases or separate versions of the Software and other items listed in Item 1 of the Schedule.
Source Code Materials means, as it pertains to the Acquired Software, (a) all computer programming code of the Acquired Software in the form written by a computer programmer in a computer programming language, and that can be readily understood, maintained or enhanced by a qualified computer programmer, including all software libraries used in connection with the Acquired Software and a complete build environment (including a compiler) necessary or useful to turn the source code and libraries into executable software; (b) the software, tools and materials utilized for the operation, development and maintenance of the Acquired Software; (c) documentation describing the names, vendors and version numbers of (i) the development tools used to maintain or develop such Acquired Software; and (ii) any Acquired Software licensed from third parties by Seller or any of its Affiliates that form part of any Acquired Software owned by Seller or any of its Affiliates and are therefore required in order to compile, assemble, translate, bind and load such owned Acquired Software into executable releases; (d) all programmers’ notes, bug lists and technical information, systems and user manuals and documentation for such Acquired Software, to the extent such materials exist, including all job control language statements, descriptions of data structures, diagrams, flow charts, technical specifications, schematics, statements or principles of operations, architecture standards and annotations describing the operation of such Acquired Software created and maintained by Seller or any of its Affiliates in the ordinary course of business, and all instructions necessary to execute the build and create executable software; and (e) all test data, test cases and test automation scripts used for the testing and validating the functioning of such Acquired Software created and maintained by Seller or any of its Affiliates in its ordinary course of business.
Source Code Materials means, collectively, the Source Code for the Programs, and any other materials as agreed by the Parties, required to be on deposit with the Escrow Agent as of the Effective Date pursuant to Section 9.2 A (x) and from time to time on deposit with the Escrow Agent pursuant to Section 13.2.
