Special Bonuses definition

Special Bonuses means the bonuses (prêmios) to be paid by CTF to or at the direction of certain individuals in connection with the closing of the Transaction, in the amounts disclosed in the CTF Disclosure Letter.
Special Bonuses means the bonuses described in Section 1.1 of this Agreement.
Special Bonuses means an amount up to Five Million Four Hundred Thousand Dollars ($5,400,000) to be paid at or as soon as practical after the Closing by either the Company out of its cash available at Closing or by Parent as part of the Special Bonuses Shortfall to certain employees, independent contractors, and/or consultants (subject to all applicable withholdings, if any) of the Company in the manner set forth in Schedule 1.1 under the heading “Special Bonuses” hereto; provided, however, such Schedule 1.1 shall be delivered at the Closing; provided, further, no portion of the Special Bonuses shall be used to pay any amounts to Pace, Xxxxx Xxxxxxxx or Xxxx Xxxxxx; provided, further, such allocations shall be subject to the approval of stockholders pursuant to Section 7.10.
