Special Shares definition

Special Shares means, collectively, all those issued Class "1" Special Shares, Class "2" Special Shares, Class "3" Special Shares, Class "4" Special Shares, Class "5" Special Shares, Class "6" Special Shares, Class "7" Special Shares, Class "8" Special Shares and any other issued Special Shares created at any time by the Corporation with an attribute of sharing pari passu with all other Special Shares;
Special Shares means the special voting shares in the capital of the Company;
Special Shares means the special non-voting incentive shares in the capital of the Corporation;

Examples of Special Shares in a sentence

  • On the Automatic Conversion Date, all rights with respect to the Non-Voting Special Shares so converted shall terminate, except for any of the rights of the holder thereof, upon surrender of the holder’s certificate or certificates therefor, to receive certificates (or evidences of book-entry registration) for the number of Common Shares into which such Non-Voting Special Shares have been converted.

  • In each case, the dollar values set forth in Part 4 shall be appropriately adjusted to provide the holders of the Non-Voting Special Shares the same economic effect as contemplated by these Articles prior to such event.

  • Upon the automatic conversion of the applicable Non-Voting Special Shares, the holders of such Non-Voting Special Shares shall surrender the certificates representing such shares at the registered office of the Corporation or of its transfer agent.

  • Unless and until adjusted as provided for in this Article 3.5, for all conversions of Non-Voting Special Shares, each Special Share shall be converted into Common Shares on a 1:1 basis (the “Conversion Rate”).

  • After payment to the holders of the Non-Voting Special Shares of the amount so payable to them as above provided, the holders of the Non-Voting Special Shares shall not be entitled to share in any further distribution of the property or assets of the Corporation.


More Definitions of Special Shares

Special Shares means the special voting shares in the capital of the Company; “TSX” means Toronto Stock Exchange;

"SUPPORT AGREEMENT" means an agreement to be made between Source and Cableshare on the terms and conditions set forth in Exhibit 3 hereto, together with such other terms and conditions as may be customary for agreements of a similar nature and as may be agreed to by the parties, acting reasonably. "TERMINATION DATE" means December 31, 1996. "TRUSTEE" means the trustee referred to in section 2.10. "UNAUDITED FINANCIAL STATEMENTS" means the unaudited consolidated balance sheet of Cableshare as at September 30, 1996 and the consolidated statements of earnings and changes in financial position for the six-month period ended September 30, 1996, all as contained in the Cableshare Information Circular. "VOTING AND EXCHANGE TRUST AGREEMENT" means an agreement to be made between Source, Cableshare and the Trustee on the terms and conditions set forth in Exhibit 4 hereto, together with such other terms and conditions as may be customary for agreements of a similar nature or as may be agreed to by the parties, acting reasonably.
Special Shares means the special voting shares in the capital of the Company; “Term Loan” has the meaning ascribed thereto under “Credit Facilities”; “TSX” means Toronto Stock Exchange;
Special Shares means the special shares in the capital of Acquisitionco.
